(hereinafter referred to as the "Merchant", which expression shall, unless repugnant to the context or meaning thereof, include its successors, legal representatives, administrators, and permitted assigns).
Shimio and the Merchant are hereinafter individually referred to as a "Party" and collectively as the "Parties."
RECITALS
WHEREAS:
A. Shimio owns and operates an online marketplace platform that enables merchants to list, market, and sell products to customers through its website, mobile application, and any other digital channels operated by Shimio.
B. The Merchant is engaged in the lawful business of selling products and desires to offer such products for sale through the Shimio platform.
C. Shimio has agreed to onboard the Merchant, and the Merchant has agreed to sell products through the Shimio platform, subject to the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
For the purposes of this Agreement, unless the context otherwise requires, the following terms shall have the meanings assigned to them below:
"Agreement" means this Merchant Agreement, including all schedules, annexures, amendments, and policies issued by Shimio from time to time.
"Applicable Laws" means all applicable laws, rules, regulations, notifications, governmental orders, and judicial decisions in force in the Republic of India.
"Business Day" means any day other than a Sunday, or a public holiday on which banks are generally open for business in India.
"Commission" means the fee payable by the Merchant to Shimio for facilitating the sale of the Merchant's products through the Platform, as specified by Shimio from time to time.
"Customer" means any individual or entity purchasing or intending to purchase products through the Platform.
"Merchant" means the individual, sole proprietorship, partnership, LLP, company, or any other legal entity that has entered into this Agreement with Shimio to list and sell products through the Platform.
"Order" means a confirmed purchase placed by a Customer through the Platform for one or more products offered by the Merchant.
"Platform" means the website, mobile application, software, and any other digital channels owned, operated, or managed by Shimio.
"Product(s)" means the goods listed by the Merchant for sale through the Platform.
"Settlement Amount" means the amount payable by Shimio to the Merchant after deducting the applicable Commission, taxes, refunds, penalties (if any), and other charges in accordance with this Agreement.
"Services" means the marketplace, technology, marketing, payment facilitation, customer support, logistics support (where applicable), and other services provided by Shimio under this Agreement.
"Confidential Information" means any non-public business, financial, commercial, technical, operational, customer, pricing, marketing, or strategic information disclosed by either Party to the other in any form.
1.2 Interpretation
Unless the context otherwise requires:
a. Words importing the singular shall include the plural and vice versa.
b. References to one gender shall include all genders.
c. Headings and titles are included for convenience only and shall not affect the interpretation of this Agreement.
d. References to any law or statute shall include any amendments, replacements, or re-enactments thereof.
e. The words "including," "includes," and "such as" shall be interpreted to mean "including without limitation."
f. In the event of any conflict between this Agreement and any policy published by Shimio, the provisions of this Agreement shall prevail unless expressly stated otherwise.
g. This Agreement shall be interpreted fairly and shall not be construed against either Party solely because that Party drafted or prepared for it.
2. APPOINTMENT OF MERCHANT AND SCOPE OF SERVICES
2.1 Appointment
Subject to the terms and conditions of this Agreement, Shimio hereby appoints the Merchant as a non-exclusive seller on the Platform, and the Merchant hereby accepts such appointment to list, market, advertise, and sell its Products through the Platform.
The appointment granted under this Agreement is non-exclusive. Nothing contained herein shall restrict the Merchant from selling its Products through its own physical stores, website, or any other online or offline marketplace, unless otherwise agreed in writing.
2.2 Nature of Relationship
The Parties acknowledge and agree that:
a. Shimio operates solely as an online marketplace and technology platform facilitating transactions between Merchants and Customers.
b. Nothing in this Agreement shall be construed as creating a partnership, joint venture, employer-employee relationship, agency, franchise, or fiduciary relationship between the Parties.
c. The Merchant shall remain solely responsible for its business operations, inventory, pricing, statutory compliances, taxes, and the quality of the Products sold through the Platform.
d. Shimio shall not obtain ownership or title to any Product listed by the Merchant unless expressly agreed in writing.
2.3 Scope of Services
Shimio may provide one or more of the following services to the Merchant:
a. Listing and displaying the Merchant's Products on the Platform.
b. Providing a secure online marketplace for Customers to browse and purchase Products.
c. Facilitating order management and communication between the Merchant and Customers.
d. Processing or facilitating online payments through authorized payment partners.
e. Providing customer support relating to Platform usage and order coordination.
f. Offering promotional, advertising, and marketing opportunities at Shimio's discretion.
g. Providing logistics support or delivery coordination where such services are offered by Shimio.
2.4 Merchant Eligibility
The Merchant represents and warrants that:
a. It possesses the legal authority and capacity to enter into this Agreement.
b. It holds all registrations, licenses, permits, and approvals required under Applicable Laws to conduct its business.
c. All information and documents submitted to Shimio are true, complete, accurate, and not misleading.
d. It shall promptly notify Shimio of any material change to its ownership, business information, licenses, or contact details.
2.5 Right to Approve or Reject
Shimio reserves the right, at its sole discretion, to approve, reject, suspend, or remove any Merchant application or Product listing that:
a. Violates Applicable Laws or this Agreement.
b. May harm the reputation, security, or integrity of the Platform.
c. Involves counterfeit, prohibited, unsafe, or infringing Products.
d. Is likely to result in fraud, customer deception, or regulatory non-compliance.
2.6 Modification of Services
Shimio may introduce, modify, suspend, or discontinue any feature, functionality, or service of the Platform from time to time. Where such changes materially affect the Merchant's rights or obligations under this Agreement, Shimio shall provide reasonable notice to the Merchant through the Platform, email, or any other designated communication channel.
3. MERCHANT OBLIGATIONS
3.1 General Obligations
The Merchant shall:
a. Conduct its business in a lawful, ethical, and professional manner at all times.
b. Comply with all Applicable Laws, regulations, government notifications, and industry standards relevant to its business and Products.
c. Ensure that all Products offered on the Platform are genuine, safe, merchantable, and fit for their intended purpose.
d. Maintain all licenses, registrations, permits, and approvals required to conduct its business and sell its Products.
e. Cooperate with Shimio in maintaining a safe, reliable, and customer-friendly marketplace.
3.2 Product Listings
The Merchant shall ensure that every Product listed on the Platform:
a. Contains an accurate title, description, specifications, dimensions, and pricing.
b. Includes clear and genuine images that accurately represent the Product.
c. Does not contain false, misleading, or deceptive information.
d. Is available in the quantity displayed on the Platform.
e. Complies with all applicable product safety and labeling requirements.
The Merchant shall promptly update any changes relating to Product availability, specifications, or pricing.
3.3 Pricing
The Merchant shall:
a. Determine the selling price of its Products independently.
b. Ensure that prices displayed on the Platform are accurate and inclusive of all applicable taxes, unless otherwise specified.
c. Not manipulate prices, engage in deceptive pricing practices, or artificially inflate discounts.
d. Honor the price displayed at the time a Customer places a confirmed Order unless the Order is cancelled in accordance with this Agreement.
3.4 Inventory Management
The Merchant shall:
a. Maintain sufficient inventory to fulfill accepted Orders.
b. Regularly update inventory levels to prevent overselling.
c. Immediately notify Shimio if any listed Product becomes unavailable.
d. Be responsible for losses arising from inaccurate inventory information provided by the Merchant.
3.5 Order Fulfilment
The Merchant agrees to:
a. Accept or reject Orders within the timeframe prescribed by Shimio.
b. Pack Products securely to prevent damage during transit.
c. Dispatch Orders within the agreed timelines.
d. Ensure that Products delivered to Customers match the Order placed.
e. Cooperate with Shimio and its logistics partners in relation to Order fulfillment and delivery.
3.6 Customer Service
The Merchant shall:
a. Respond promptly to queries forwarded by Shimio regarding Products or Orders.
b. Cooperate in resolving customer complaints, returns, refunds, exchanges, and warranty claims.
c. Maintain professional conduct in all communications with Customers.
3.7 Prohibited Conduct
The Merchant shall not:
a. Sell counterfeit, stolen, expired, unsafe, or prohibited Products.
b. Upload misleading advertisements or false Product information.
c. Attempt to divert Customers away from the Platform for the purpose of completing sales outside Shimio.
d. Manipulate reviews, ratings, or customer feedback.
e. Engage in fraudulent, deceptive, or unlawful activities.
f. Infringe upon the intellectual property rights of any third party.
g. Interfere with the proper functioning or security of the Platform.
3.8 Ongoing Compliance
The Merchant acknowledges that failure to comply with the obligations set forth in this Section may result in suspension or termination of its access to the Platform, withholding of settlements where permitted under this Agreement, removal of Product listings, or any other action reasonably necessary to protect Customers, Shimio, or the integrity of the Platform.
4. ORDERS, DELIVERY AND FULFILMENT
4.1 Order Placement
a. Customers may place Orders for Products listed by the Merchant through the Platform.
b. An Order shall be considered confirmed only after successful placement through the Platform and completion of any verification process required by Shimio.
c. Shimio shall notify the Merchant of confirmed Orders through the Platform, registered email, mobile application, or any other communication method designated by Shimio.
d. The Merchant shall be responsible for monitoring and responding to Order notifications within the prescribed timeframe.
4.2 Order Acceptance and Rejection
a. The Merchant shall accept or reject an Order within the timeframe specified by Shimio.
b. The Merchant shall not reject confirmed Orders without a valid reason, including but not limited to:
c. Repeated cancellations, delays, or failures to fulfil Orders may result in penalties, suspension, or termination of the Merchant account.
4.3 Product Packaging
The Merchant shall ensure that:
a. Products are properly packed to prevent damage, loss, or deterioration during transportation.
b. Packaging complies with applicable safety and legal requirements.
c. Packages contain the correct Product, quantity, and specifications as mentioned in the Order.
d. Products are prepared within the agreed timeline to ensure timely delivery to Customers.
4.4 Delivery Responsibilities
a. Delivery responsibilities shall be determined based on the delivery model selected by Shimio.
b. Where Shimio provides delivery services, Shimio shall coordinate transportation through its own delivery personnel or third-party logistics partners.
c. Where the Merchant is responsible for delivery, the Merchant shall ensure timely and accurate delivery of Orders.
d. The Merchant shall cooperate with Shimio regarding delivery updates, proof of delivery, and customer communication.
e. Shimio shall not be responsible for delays caused due to circumstances beyond its reasonable control, including but not limited to weather conditions, transportation disruptions, government restrictions, or force majeure events.
4.5 Failed Delivery
In case of failed delivery due to reasons attributable to the Merchant, including incorrect Product information, poor packaging, or failure to make the Product available:
a. The Merchant may be responsible for associated costs, including delivery charges, return charges, or other applicable expenses.
b. Shimio may take corrective actions, including warnings, suspension of listings, or temporary restriction of the Merchant account.
4.6 Customer Experience Standards
The Merchant acknowledges that customer satisfaction is essential to the success of the Platform and agrees to maintain:
a. Accurate Product information.
b. Timely Order processing.
c. Good quality Products.
d. Professional communication with Customers.
e. Cooperation with Shimio for resolving customer issues.
4.7 Order Records
a. Shimio shall maintain electronic records of Orders placed through the Platform.
b. The Merchant may access relevant Order information through the Merchant dashboard or other systems provided by Shimio.
c. Both Parties agree that electronic records maintained by Shimio shall serve as evidence of transactions conducted through the Platform, unless proven otherwise.
5. COMMISSION, FEES AND PAYMENT SETTLEMENT
5.1 Commission Structure
a. The Merchant agrees to pay Shimio a Commission for every successful transaction completed through the Platform.
b. The Commission shall be charged as consideration for the marketplace services, technology infrastructure, customer access, operational support, and other services provided by Shimio.
c. The applicable Commission rate shall depend on the Product category and shall be specified in Annexure A (Commission Schedule) attached to this Agreement.
d. The Merchant acknowledges and agrees that Commission rates may vary based on Product categories, business requirements, promotional programs, or operational costs.
5.2 Purpose of Commission
The Merchant acknowledges that Shimio's Commission supports the operation and growth of the Platform, including:
a. Development and maintenance of the Shimio digital marketplace.
b. Providing merchants with access to customers through online channels.
c. Technology infrastructure, security, and platform improvements.
d. Order management and transaction facilitation.
e. Marketing, promotional activities, and customer acquisition.
f. Customer support and marketplace operations.
g. Logistics coordination and delivery support where applicable.
The Merchant agrees that the Commission represents compensation for the overall value and business opportunities provided by Shimio.
5.3 Calculation and Deduction of Commission
a. Commission shall be calculated on the Product selling price of each completed transaction.
b. Shimio shall deduct the applicable Commission from the amount received from the Customer before releasing the Settlement Amount to the Merchant.
c. The Merchant's final payout shall be calculated after deduction of:

a. Shimio shall settle the Merchant's payable amount after completion of applicable verification and deduction processes.
b. Settlement shall be made to the bank account details provided by the Merchant during onboarding.
c. The Merchant shall ensure that all banking information provided to Shimio is accurate and updated.
d. Shimio shall not be responsible for delays caused due to incorrect bank details provided by the Merchant.
5.5 Settlement Timeline
a. The settlement cycle shall be communicated to the Merchant during onboarding or through the Platform.
b. Shimio may provide settlement cycles including:

5.6 Taxes and Statutory Compliance
a. The Merchant shall be solely responsible for compliance with all tax obligations arising from the sale of Products.
b. The Merchant shall provide valid business and tax information required by Shimio.
c. Shimio may deduct applicable taxes, including withholding taxes, where required under Applicable Laws.
d. The Merchant shall maintain proper records of all sales conducted through the Platform.
5.7 Refunds and Adjustments
a. Shimio may adjust refund amounts, customer compensation, penalties, or other recoverable amounts from pending or future Merchant settlements.
b. If amounts payable by the Merchant exceed available settlements, the Merchant shall pay the outstanding amount within the timeframe communicated by Shimio.
5.8 Revision of Commission Structure
a. Shimio reserves the right to revise Commission rates, introduce new Product categories, or modify existing categories.
b. Shimio shall provide reasonable notice to Merchants before implementing changes.
c. Revised Commission rates shall apply only to future transactions and shall not affect completed Orders.
ANNEXURE A
COMMISSION SCHEDULE
This Annexure forms an integral part of the Merchant Agreement between Shimio and the Merchant.
This Annexure defines the applicable Commission rates for Products sold through the Shimio Platform.
A.1 Commission Overview
Shimio operates as a marketplace platform connecting local merchants with customers. The Commission charged by Shimio enables the Platform to provide:

A.4 Category Classification
a. Shimio shall determine the applicable Product category for Commission purposes.
b. Shimio may reclassify Products where necessary to ensure accurate Commission calculation.
c. The Merchant shall provide accurate Product information to assist correct classification.
A.5 Promotional Commission Rates
a. Shimio may introduce promotional Commission rates, introductory offers, or merchant growth programs.
b. Promotional rates may apply for a specific period, category, or group of Merchants.
c. After completion of the promotional period, standard Commission rates shall apply unless otherwise communicated.
A.6 Changes to Commission Schedule
a. Shimio reserves the right to update this Commission Schedule based on business requirements, operational costs, market conditions, or Platform development.
b. Any changes shall be communicated to Merchants through appropriate channels.
c. Updated Commission rates shall apply prospectively to future transactions.
6. RETURNS, REFUNDS AND CANCELLATION POLICY
6.1 Purpose
This section defines the rights and responsibilities of Shimio, Merchants, and Customers regarding Order cancellations, returns, refunds, and related adjustments.
The objective of this policy is to ensure a fair, transparent, and customer-friendly marketplace experience while protecting the interests of Merchants.
6.2 Customer Cancellation Before Fulfilment
a. A Customer may request cancellation of an Order before the Order has been dispatched or delivered, subject to Shimio's applicable cancellation policy.
b. If cancellation occurs due to reasons attributable to the Merchant, including incorrect inventory information or inability to fulfil the Order, the Merchant may be responsible for associated costs.
c. If cancellation occurs due to reasons beyond the control of the Merchant, Shimio may review the circumstances and determine the appropriate action.
6.3 Returns and Replacement Requests
a. Customers may request returns or replacements for Products in accordance with Shimio's return policy.
b. Return eligibility may depend on factors including:
c. The Merchant shall cooperate with Shimio in processing eligible returns and replacement requests.
6.4 Merchant Responsibilities for Returns
The Merchant shall be responsible for returns arising due to:
a. Wrong Product delivered.
b. Damaged or defective Product.
c. Product not matching the description or images provided on the Platform.
d. Missing items or incorrect quantity.
e. Poor packaging resulting in damage during delivery.
f. Any violation of Product quality standards.
6.5 Non-Returnable Products
Certain Products may be classified as non-returnable due to their nature, hygiene considerations, customization, or other valid reasons.
Shimio may determine Product categories that are non-returnable and shall communicate such policies to Merchants.
6.6 Refund Processing
a. Where a Customer is eligible for a refund, Shimio may process the refund according to the applicable payment process.
b. Refund amounts may be adjusted from the Merchant's pending or future settlements where the Merchant is responsible for the refund.
c. Shimio may recover additional costs including return shipping, logistics charges, or customer compensation where applicable.
6.7 Return Shipping and Logistics Costs
a. Responsibility for return shipping costs shall depend on the reason for return.
b. Where the return is caused by Merchant-related issues, the Merchant may bear applicable return and logistics costs.
c. Where the return is caused by Customer preference or reasons unrelated to the Merchant, Shimio may determine the applicable cost allocation.
6.8 Fraudulent or Abusive Returns
a. Shimio reserves the right to investigate suspicious return requests, fraudulent activities, or misuse of the return process.
b. Shimio may take appropriate action including rejection of fraudulent claims, suspension of accounts, or other corrective measures.
6.9 Merchant Cooperation
The Merchant agrees to:
a. Respond promptly to return and refund-related requests.
b. Provide necessary information or documentation requested by Shimio.
c. Maintain proper records of Products, Orders, and fulfilment activities.
d. Cooperate in resolving Customer complaints in a timely manner.
6.10 Final Decision Authority
Shimio reserves the right to make reasonable decisions regarding disputes, returns, refunds, and customer complaints to maintain marketplace trust and service quality.
Such decisions shall be made considering available evidence, Platform policies, and Applicable Laws.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Ownership of Shimio Intellectual Property
a. All rights, title, and interest in and to Shimio's intellectual property, including but not limited to:
shall remain the exclusive property of Shimio or its respective licensors.
b. Nothing contained in this Agreement shall grant the Merchant any ownership rights, title, or interest in Shimio's intellectual property.
c. The Merchant shall not copy, modify, reproduce, distribute, or use Shimio's intellectual property except with prior written permission from Shimio.
7.2 Limited License to Merchant
a. During the term of this Agreement, Shimio grants the Merchant a limited, non-exclusive, non-transferable, and revocable license to use Shimio-approved branding materials solely for the purpose of promoting the Merchant's participation on the Platform.
b. The Merchant shall use Shimio branding only in accordance with guidelines provided by Shimio.
c. Upon termination of this Agreement, the Merchant shall immediately stop using Shimio's intellectual property.
7.3 Merchant Intellectual Property
a. The Merchant retains all ownership rights in its own intellectual property, including:

7.4 License to Use Merchant Content
a. The Merchant grants Shimio a limited, worldwide, royalty-free license to use, reproduce, display, modify, and distribute Merchant-provided content including:

7.5 Intellectual Property Compliance
The Merchant represents and warrants that:

b. Products listed by the Merchant do not infringe any third-party intellectual property rights.
c. It shall be solely responsible for any claims arising from infringement related to its Products, images, descriptions, or branding.
7.6 Prohibited Use
The Merchant shall not:
a. Copy or replicate Shimio's Platform, business model, technology, or branding.
b. Use Shimio's name or reputation to create unauthorized marketing materials.
c. Remove copyright notices, trademarks, or ownership markings belonging to Shimio.
d. Attempt to reverse engineer, modify, or interfere with Shimio's technology systems.
7.7 Protection of Marketplace Content
Shimio reserves the right to protect its Platform content, technology, and business information from unauthorized use, reproduction, or distribution by any party.
Any unauthorized use may result in suspension, termination of Merchant access, and legal action where appropriate.
8. DATA PROTECTION AND CONFIDENTIALITY
8.1 Purpose
The Parties acknowledge that during the course of their relationship, they may exchange or access certain information relating to Customers, Merchants, business operations, transactions, and Platform activities.
Both Parties agree to protect such information and use it only for legitimate purposes connected with this Agreement.
8.2 Customer Data Protection
a. Customer information obtained through the Shimio Platform, including but not limited to:

b. The Merchant shall use Customer information only for fulfilling Orders, providing customer support, and completing legitimate business activities related to transactions conducted through Shimio.

8.3 Merchant Data Protection

f. Any information marked or reasonably understood to be confidential.
8.5 Obligations Regarding Confidential Information
The receiving Party agrees to:
a. Maintain confidentiality of the disclosed information.
b. Use Confidential Information only for purposes related to this Agreement.
c. Restrict access to Confidential Information only to authorized personnel who require such information.
d. Take reasonable steps to prevent unauthorized disclosure.
8.6 Exceptions to Confidential Information
Confidential Information shall not include information that:
a. Is publicly available without breach of this Agreement.
b. Was already lawfully known by the receiving Party before disclosure.
c. Is received lawfully from a third party without confidentiality obligations.
d. Is required to be disclosed under Applicable Laws, court orders, or government authority requirements.
8.7 Data Security Obligations
a. Each Party shall maintain reasonable technical and organizational safeguards to protect information from unauthorized access, loss, misuse, or disclosure.
b. In case of any suspected data breach, the affected Party shall promptly notify the other Party and cooperate in taking appropriate corrective measures.
8.8 Survival of Confidentiality Obligations
The confidentiality obligations under this Section shall continue even after termination or expiry of this Agreement for a period required under Applicable Laws or until the information becomes publicly available through lawful means.
9. SUSPENSION AND TERMINATION
9.1 Term of Agreement
a. This Agreement shall become effective from the Effective Date and shall continue unless terminated in accordance with the provisions of this Agreement.
b. The Merchant's access to the Shimio Platform shall remain active subject to continued compliance with this Agreement and applicable Platform policies.
9.2 Suspension of Merchant Account
Shimio may temporarily suspend the Merchant's account, Product listings, or access to certain Platform features if:
a. The Merchant violates any provision of this Agreement.
b. The Merchant provides inaccurate, incomplete, or misleading information.
c. The Merchant repeatedly cancels, delays, or fails to fulfil Orders.
d. The Merchant receives excessive customer complaints, disputes, or negative feedback.
e. The Merchant lists prohibited, counterfeit, unsafe, or illegal Products.
f. Shimio reasonably suspects fraudulent, unlawful, or harmful activity.
g. Suspension is required for security, investigation, regulatory, or legal reasons.
9.3 Effect of Suspension
During suspension:
a. Shimio may temporarily remove Product listings from the Platform.
b. Shimio may restrict the Merchant's ability to receive new Orders.
c. Shimio may hold pending settlements where reasonably necessary to investigate disputes, refunds, fraud, or outstanding obligations.
d. The Merchant shall cooperate with Shimio by providing required documents, explanations, or corrective actions.
9.4 Termination by Shimio
Shimio may terminate this Agreement immediately or with notice if:
a. The Merchant materially breaches this Agreement and fails to correct such breach within the specified period.
b. The Merchant engages in fraudulent, illegal, or unethical activities.
c. The Merchant damages Shimio's reputation, customer trust, or marketplace integrity.
d. The Merchant repeatedly violates Platform policies.
e. The Merchant becomes insolvent, ceases operations, or is unable to fulfil business obligations.
f. Continued association with the Merchant may create legal, financial, or operational risks for Shimio.
9.5 Termination by Merchant
a. The Merchant may terminate this Agreement by providing written notice to Shimio.
b. Termination shall not affect:

Upon termination:
a. The Merchant's access to the Platform may be discontinued.
b. Active Product listings may be removed.
c. The Merchant shall stop using Shimio's branding, materials, and intellectual property.
d. Shimio shall process pending settlements after adjusting applicable deductions, refunds, disputes, or outstanding amounts.
e. Both Parties shall return or delete confidential information where required, subject to legal retention requirements.
9.7 Survival of Certain Provisions
The following provisions shall continue after termination:
a. Intellectual Property Rights.
b. Data Protection and Confidentiality.
c. Payment obligations.
d. Liability and Indemnification.
e. Dispute Resolution.
f. Any provision that by its nature is intended to survive termination.
10. LIABILITY AND INDEMNIFICATION
10.1 Limitation of Shimio's Role
a. The Merchant acknowledges that Shimio operates as a marketplace platform that facilitates transactions between Merchants and Customers.
b. Shimio does not manufacture, own, or sell Merchant Products and shall not be considered the seller, manufacturer, distributor, or supplier of Products listed by Merchants on the Platform.
c. Shimio may provide marketplace services, technology infrastructure, customer support, marketing support, payment facilitation, logistics coordination, and Product verification activities as part of its Platform operations.
d. The Merchant acknowledges that the primary responsibility for the quality, authenticity, legality, safety, and compliance of Products remains with the Merchant.
10.2 Product Verification and Inspection Rights
10.2.1 Purpose of Product Verification
Shimio is committed to maintaining a reliable, transparent, and customer-focused marketplace. To protect customer trust and maintain Platform quality standards, Shimio reserves the right to conduct Product verification, inspection, and quality review activities.
The purpose of verification includes:
a. Ensuring that Products listed on the Platform match the descriptions, images, specifications, and representations provided by the Merchant.
b. Reducing instances of incorrect Products, counterfeit Products, damaged Products, misleading listings, and customer complaints.
c. Maintaining consistent quality standards across Merchants operating on Shimio.
d. Improving customer confidence and overall marketplace experience.
10.2.2 Right to Inspect Products
Shimio shall have the right, directly or through authorized representatives, employees, partners, or third-party inspection agencies, to inspect, verify, or review Merchant Products.
Such inspection may be conducted:
a. Before approving Merchant onboarding.
b. Before approving Product listings.
c. During the Merchant's active participation on the Platform.
d. After receiving customer complaints, return requests, or quality concerns.
e. As part of periodic quality audits conducted by Shimio.
f. Whenever Shimio reasonably believes verification is necessary to protect customers or Platform integrity.
10.2.3 Scope of Inspection
Product verification may include, but shall not be limited to:
a. Verification that Products match the information provided by the Merchant, including:
b. Verification of Product condition, quality, functionality, and packaging standards.
c. Verification of authenticity and legitimacy of Products.
d. Review of supporting documents, including:
e. Verification of compliance with applicable laws, safety requirements, and Platform policies.
10.2.4 Merchant Cooperation During Inspection
The Merchant agrees to fully cooperate with Shimio during any Product verification process.
The Merchant shall:
a. Provide access to Products and relevant inventory where required.
b. Provide accurate information and documentation requested by Shimio.
c. Allow inspection of Products, packaging, and related records.
d. Respond to verification requests within the timeframe specified by Shimio.
e. Take corrective action if any issue is identified during inspection.
10.2.5 Product Approval, Restriction and Removal
a. Shimio reserves the right to approve, reject, restrict, modify, or remove any Product listing based on quality standards, customer safety concerns, legal requirements, or Platform policies.
b. Shimio may restrict or remove Products that:
c. Any Product approval or verification by Shimio shall not be considered a guarantee, certification, warranty, or acceptance of responsibility for the Product.
10.2.6 Customer Complaint Investigation
a. Where a customer complaint arises regarding Product quality, authenticity, incorrect delivery, defects, or misrepresentation, Shimio may conduct an investigation.

10.2.7 Inspection Does Not Transfer Liability
a. The Merchant acknowledges that any inspection, verification, approval, or review conducted by Shimio does not transfer responsibility for Products from the Merchant to Shimio.
b. The Merchant shall remain solely responsible for:
c. Shimio shall not be considered responsible merely because it performed verification activities.
10.2.8 Periodic Quality Audits
a. Shimio may conduct periodic quality audits of Merchant performance and Product standards.
b. Such audits may consider:
c. Shimio may require corrective actions from Merchants based on audit results.
10.2.9 False Information or Non-Cooperation
If the Merchant:
a. Provides false, incomplete, or misleading Product information;
b. Refuses reasonable inspection requests;
c. Provides fraudulent documents;
d. Attempts to avoid quality verification;
Shimio may suspend or terminate the Merchant account and take any other action permitted under this Agreement.
10.2.10 Limitation of Inspection Responsibility
The Merchant acknowledges that Shimio's inspection activities are performed only for marketplace quality management purposes.
Shimio does not guarantee that every defect, violation, or Product issue will be identified through inspection.
The Merchant remains ultimately responsible for ensuring that all Products sold through Shimio meet customer expectations and comply with Applicable Laws.
10.3 MERCHANT LIABILITY
10.3.1 Responsibility for Products
a. The Merchant shall be solely responsible for all Products listed, marketed, sold, or delivered through the Shimio Platform.
b. The Merchant represents and warrants that all Products:
c. The Merchant shall be responsible for ensuring that Customers receive Products that are exactly as represented at the time of purchase.
10.3.2 Responsibility for Product Quality and Safety
The Merchant shall bear full responsibility for:
a. Manufacturing defects, product defects, or quality issues.
b. Incorrect, incomplete, damaged, or counterfeit Products.
c. Failure of Products to meet Customer expectations due to inaccurate descriptions or representations.
d. Any injury, damage, loss, or claim arising from the use or consumption of Merchant Products.
e. Compliance with applicable product safety standards and regulations.
10.3.3 Responsibility for Merchant Information
The Merchant shall ensure that all information provided to Shimio, including:
a. Business details;
b. Registration details;
c. Tax information;
d. Bank account information;
e. Product information;
f. Pricing and inventory details;
is accurate, complete, and updated.
The Merchant shall be responsible for any loss, damage, penalty, or dispute arising from incorrect or misleading information provided by the Merchant.
10.3.4 Responsibility for Customer Complaints
a. The Merchant shall be responsible for resolving Product-related complaints arising from:
b. The Merchant shall cooperate with Shimio in investigating and resolving Customer complaints.
c. Repeated complaints, poor Product quality, or failure to resolve customer issues may result in corrective actions by Shimio.
10.3.5 Compliance with Laws and Regulations
The Merchant shall be solely responsible for complying with all Applicable Laws relating to:
a. Product sale and distribution.
b. Business registrations and licenses.
c. Tax obligations.
d. Consumer protection requirements.
e. Product safety requirements.
f. Intellectual property rights.
g. Industry-specific regulations applicable to Merchant Products.
Shimio shall not be responsible for any violation of laws caused by the Merchant.
10.3.6 Responsibility for Merchant Representatives
a. The Merchant shall be responsible for the actions and conduct of its employees, representatives, agents, and authorized personnel.
b. Any violation of this Agreement by persons acting on behalf of the Merchant shall be treated as a violation by the Merchant itself.
10.3.7 Financial Responsibility
The Merchant shall be responsible for all costs, losses, penalties, refunds, compensation, damages, or expenses arising due to:
a. Merchant-related errors.
b. Product-related issues.
c. Failure to fulfil Orders.
d. Customer claims caused by Merchant actions.
e. Violation of Platform policies.
Shimio may recover such amounts through deductions from pending settlements or by requesting direct payment from the Merchant.
10.3.8 No Transfer of Merchant Responsibility
The Merchant acknowledges that Shimio's role as a marketplace facilitator, including Product verification, customer support, payment processing, or logistics assistance, does not transfer the Merchant's responsibilities or liabilities to Shimio.
The Merchant remains the primary party responsible for Products and transactions conducted through its account.
11. FORCE MAJEURE
11.1 Definition of Force Majeure
A "Force Majeure Event" means any event, circumstance, or condition beyond the reasonable control of the affected Party that prevents, delays, or restricts the performance of obligations under this Agreement.
Force Majeure Events may include, but are not limited to:
a. Natural disasters, including:
b. Government actions, including:
c. Public emergencies, including:
d. Technical and infrastructure failures, including:
e. Labour-related events, including:
f. Transportation and logistics disruptions, including:
g. Any other event that cannot reasonably be prevented or controlled by the affected Party.
11.2 Effect of Force Majeure Event
a. A Party affected by a Force Majeure Event shall not be considered in breach of this Agreement for failure or delay in performing its obligations to the extent such failure is caused by the Force Majeure Event.
b. The affected Party shall make reasonable efforts to minimize the impact of the Force Majeure Event and resume normal performance as soon as reasonably possible.
11.3 Notice of Force Majeure
a. The affected Party shall notify the other Party within a reasonable period after becoming aware of a Force Majeure Event.
b. Such notice shall include, where reasonably possible:

a. During the continuation of a Force Majeure Event, the affected obligations may be temporarily suspended.
b. Neither Party shall be responsible for delays caused directly by such events.
c. Payment obligations already accrued before the occurrence of the Force Majeure Event shall not be automatically waived unless otherwise agreed.
11.5 Platform Operations During Force Majeure
a. Shimio may temporarily restrict, suspend, or modify Platform services where necessary due to a Force Majeure Event.
b. Shimio shall not be liable for losses arising from temporary suspension, reduced availability, or modification of Platform services caused by such events.
11.6 Extended Force Majeure Event
If a Force Majeure Event continues for an extended period and significantly affects the ability of either Party to perform its obligations:
a. The Parties may discuss appropriate solutions.
b. Either Party may terminate this Agreement by providing written notice if continued performance becomes commercially impractical.
11.7 Survival
Termination of this Agreement due to a Force Majeure Event shall not affect obligations that accrued before termination, including payment obligations, confidentiality obligations, and any provisions intended to survive termination.
12. DISPUTE RESOLUTION AND GOVERNING LAW
12.1 Good Faith Resolution
a. The Parties agree that any dispute, disagreement, claim, or controversy arising out of or relating to this Agreement shall first be attempted to be resolved through good faith discussions.
b. Either Party may provide written notice describing the nature of the dispute and the desired resolution.
c. Both Parties shall make reasonable efforts to resolve the dispute amicably within a reasonable period.
12.2 Escalation Process
If the dispute cannot be resolved through initial discussions:
a. The matter may be escalated to designated representatives of both Parties for further review.
b. The Parties shall cooperate and exchange relevant information required to understand and resolve the dispute.
c. Any temporary operational decisions made by Shimio during a dispute shall remain effective until the dispute is resolved.
12.3 Arbitration
a. If the dispute remains unresolved after good faith discussions, the Parties may mutually agree to resolve the matter through arbitration.
b. The arbitration proceedings shall be conducted in accordance with the applicable arbitration laws in India.
c. The arbitration shall be conducted by a mutually appointed arbitrator.
d. The language of arbitration shall be English unless otherwise mutually agreed.
e. The decision of the arbitrator shall be final and binding on both Parties.
12.4 Legal Proceedings
a. Nothing in this Agreement shall prevent either Party from seeking urgent legal remedies where necessary, including:
b. Subject to applicable arbitration provisions, disputes shall be subject to the jurisdiction of the courts specified under this Agreement.
12.5 Governing Law
a. This Agreement shall be governed by and interpreted in accordance with the laws of India.
b. The Parties agree that all matters relating to this Agreement shall be interpreted according to applicable Indian laws, rules, and regulations.
12.6 Jurisdiction
a. The Parties agree that courts located in the jurisdiction specified by Shimio shall have authority over disputes arising from this Agreement, subject to applicable arbitration provisions.
b. The Merchant agrees to submit to such jurisdiction for the resolution of disputes.
12.7 Continuation of Services During Disputes
a. Unless otherwise required by law or necessary to protect Shimio, Customers, or the Platform, the Parties shall continue performing their undisputed obligations during the dispute resolution process.
b. Shimio reserves the right to temporarily suspend Merchant access where continued access may create operational, financial, legal, or customer risks.
12.8 Costs and Expenses
Each Party shall bear its own costs and expenses related to dispute resolution unless otherwise determined by an arbitrator, court, or applicable law.
12.9 Survival
The obligations under this Section shall survive termination or expiry of this Agreement to the extent necessary for resolving any ongoing dispute.
13. GENERAL PROVISIONS
13.1 Entire Agreement
a. This Agreement, together with its Annexures and any policies, guidelines, or terms incorporated by reference, constitutes the entire agreement between Shimio and the Merchant.
b. This Agreement supersedes all prior discussions, communications, representations, or understandings, whether written or oral, relating to the subject matter of this Agreement.
c. Any modification, amendment, or additional terms shall be valid only when communicated and accepted in accordance with this Agreement.
13.2 Amendments and Modifications
a. Shimio reserves the right to modify, update, or amend this Agreement, Platform policies, Commission structures, operational guidelines, or service terms from time to time.
b. Shimio shall provide reasonable notice of material changes through appropriate communication channels.
c. Continued use of the Platform after such changes become effective shall constitute acceptance of the updated terms.
13.3 Relationship Between Parties
a. The relationship between Shimio and the Merchant is that of an independent marketplace platform provider and an independent Merchant.
b. Nothing contained in this Agreement shall create:

13.4 Assignment
a. The Merchant shall not transfer, assign, or delegate its rights or obligations under this Agreement to any third party without prior written approval from Shimio.

a. Any notices or communications required under this Agreement shall be provided through:

13.6 Waiver
a. Failure or delay by either Party to enforce any provision of this Agreement shall not be considered a waiver of that provision.
b. Any waiver shall be effective only if provided in writing by the Party granting such waiver.
13.7 Severability
a. If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue to remain valid and enforceable.
b. The Parties shall attempt to replace any invalid provision with a valid provision that closely reflects the original intention.
13.8 No Third-Party Beneficiaries
a. This Agreement is entered into solely between Shimio and the Merchant.
b. Except as expressly stated, no third party shall have any rights, claims, or benefits under this Agreement.
13.9 Headings
The headings and section titles used in this Agreement are for convenience only and shall not affect the interpretation of any provision.
13.10 Electronic Acceptance
a. The Merchant agrees that acceptance of this Agreement through electronic methods, including digital signatures, online confirmation, or Platform acceptance, shall be legally binding.
b. Electronic records maintained by Shimio shall be considered valid evidence of acceptance and transactions conducted through the Platform.
13.11 Survival of Obligations
Any provisions that by their nature are intended to continue after termination or expiry of this Agreement shall remain effective, including:
13.12 Interpretation
a. In case of any conflict between this Agreement and its Annexures, the terms of the Agreement shall prevail unless expressly stated otherwise.
b. Any ambiguity shall be interpreted in a manner that supports the purpose of maintaining a fair, secure, and reliable marketplace ecosystem.
14. MERCHANT DECLARATION, ACCEPTANCE AND SIGNATURES
14.1 Merchant Declaration
The Merchant hereby declares and confirms that:
a. The Merchant has read, understood, and agreed to all terms and conditions mentioned in this Agreement and its Annexures.
b. The information and documents provided by the Merchant during onboarding are true, accurate, complete, and up to date.
c. The Merchant has the legal authority to enter into this Agreement and operate its business through the Shimio Platform.
d. The Merchant agrees to comply with all Applicable Laws, Platform policies, quality standards, and operational guidelines communicated by Shimio.
e. The Merchant understands that Shimio operates as a marketplace platform and that the Merchant remains responsible for its Products, business activities, customers, and legal obligations.
f. The Merchant acknowledges and accepts the applicable Commission structure, payment settlement terms, return policies, inspection rights, and other obligations stated in this Agreement.
By signing on this agreement I agree to follow all the guidelines and rules provided by Shimio.

"प्लैटफ़ॉर्म" इसका अर्थ वेबसाइट, मोबाइल एप्लिकेशन, सॉफ़्टवेयर और शिमियो द्वारा स्वामित्व, संचालित या प्रबंधित कोई अन्य डिजिटल चैनल है।
"उत्पाद" इसका मतलब व्यापारी द्वारा प्लेटफ़ॉर्म के माध्यम से बिक्री के लिए सूचीबद्ध सामान है।
"निपटान राशि" इसका अर्थ इस अनुबंध के अनुसार लागू कमीशन, कर, रिफंड, जुर्माना (यदि कोई हो) और अन्य शुल्कों में कटौती के बाद शिमियो द्वारा व्यापारी को देय राशि है।
"सेवाएँ" इसका मतलब इस समझौते के तहत शिमियो द्वारा प्रदान की जाने वाली बाज़ार, प्रौद्योगिकी, विपणन, भुगतान सुविधा, ग्राहक सहायता, रसद सहायता (जहां लागू हो) और अन्य सेवाएं हैं।
"गोपनीय जानकारी" इसका मतलब किसी भी गैर-सार्वजनिक व्यवसाय, वित्तीय, वाणिज्यिक, तकनीकी, परिचालन, ग्राहक, मूल्य निर्धारण, विपणन, या रणनीतिक जानकारी से है जो किसी भी पक्ष द्वारा किसी भी रूप में दूसरे को बताई गई हो।
1.2 व्याख्या
जब तक कि संदर्भ की अन्यथा जरूरत न हो:
एक। एकवचन को महत्व देने वाले शब्दों में बहुवचन शामिल होगा और इसके विपरीत भी।
बी। एक लिंग के संदर्भ में सभी लिंग शामिल होंगे।
सी। शीर्षक और शीर्षक केवल सुविधा के लिए शामिल किए गए हैं और इस अनुबंध की व्याख्या को प्रभावित नहीं करेंगे।
डी। किसी भी कानून या क़ानून के संदर्भ में उसमें कोई भी संशोधन, प्रतिस्थापन या पुन: अधिनियमन शामिल होगा।
ई. शब्द "सहित," "शामिल हैं," और "जैसे" का अर्थ "बिना किसी सीमा के सहित" के रूप में किया जाएगा।
एफ। इस समझौते और शिमियो द्वारा प्रकाशित किसी भी नीति के बीच किसी भी टकराव की स्थिति में, इस समझौते के प्रावधान तब तक प्रभावी रहेंगे जब तक कि स्पष्ट रूप से अन्यथा न कहा गया हो।
जी। इस समझौते की निष्पक्ष रूप से व्याख्या की जाएगी और इसे किसी भी पक्ष के विरुद्ध केवल इसलिए नहीं माना जाएगा कि उस पक्ष ने इसका मसौदा तैयार किया है या इसके लिए तैयारी की है।
2. व्यापारी की नियुक्ति और सेवाओं का दायरा
2.1 नियुक्ति
इस अनुबंध के नियमों और शर्तों के अधीन, शिमियो इसके द्वारा व्यापारी को प्लेटफ़ॉर्म पर एक गैर-अनन्य विक्रेता के रूप में नियुक्त करता है, और व्यापारी प्लेटफ़ॉर्म के माध्यम से अपने उत्पादों को सूचीबद्ध करने, बाजार में लाने, विज्ञापन करने और बेचने के लिए ऐसी नियुक्ति स्वीकार करता है।
इस समझौते के तहत दी गई नियुक्ति गैर-विशिष्ट है। इसमें शामिल कुछ भी व्यापारी को अपने उत्पादों को अपने भौतिक स्टोर, वेबसाइट, या किसी अन्य ऑनलाइन या ऑफ़लाइन बाज़ार के माध्यम से बेचने से प्रतिबंधित नहीं करेगा, जब तक कि अन्यथा लिखित रूप में सहमति न हो।
2.2 रिश्ते की प्रकृति
पार्टियाँ स्वीकार करती हैं और सहमत हैं कि:
एक। शिमियो पूरी तरह से एक ऑनलाइन बाज़ार और प्रौद्योगिकी प्लेटफ़ॉर्म के रूप में काम करता है जो व्यापारियों और ग्राहकों के बीच लेनदेन की सुविधा प्रदान करता है।
बी। इस अनुबंध में किसी भी चीज़ को पार्टियों के बीच साझेदारी, संयुक्त उद्यम, नियोक्ता-कर्मचारी संबंध, एजेंसी, फ्रेंचाइजी या प्रत्ययी संबंध बनाने के रूप में नहीं माना जाएगा।
सी। व्यापारी अपने व्यवसाय संचालन, इन्वेंट्री, मूल्य निर्धारण, वैधानिक अनुपालन, करों और प्लेटफ़ॉर्म के माध्यम से बेचे जाने वाले उत्पादों की गुणवत्ता के लिए पूरी तरह से जिम्मेदार रहेगा।
डी। शिमियो को व्यापारी द्वारा सूचीबद्ध किसी भी उत्पाद का स्वामित्व या शीर्षक तब तक प्राप्त नहीं होगा जब तक कि लिखित रूप में स्पष्ट रूप से सहमति न हो।
2.3 सेवाओं का दायरा
शिमियो व्यापारी को निम्नलिखित में से एक या अधिक सेवाएँ प्रदान कर सकता है:
एक। प्लेटफ़ॉर्म पर व्यापारी के उत्पादों को सूचीबद्ध करना और प्रदर्शित करना।
बी। ग्राहकों को उत्पाद ब्राउज़ करने और खरीदने के लिए एक सुरक्षित ऑनलाइन बाज़ार प्रदान करना।
सी। व्यापारी और ग्राहकों के बीच ऑर्डर प्रबंधन और संचार को सुविधाजनक बनाना।
डी। अधिकृत भुगतान भागीदारों के माध्यम से ऑनलाइन भुगतान संसाधित करना या सुविधा प्रदान करना।
ई. प्लेटफ़ॉर्म उपयोग और ऑर्डर समन्वय से संबंधित ग्राहक सहायता प्रदान करना।
एफ। शिमियो के विवेक पर प्रचार, विज्ञापन और विपणन के अवसर प्रदान करना।
जी। जहां शिमियो द्वारा ऐसी सेवाएं प्रदान की जाती हैं, वहां रसद सहायता या वितरण समन्वय प्रदान करना।
2.4 व्यापारी पात्रता
व्यापारी इसका प्रतिनिधित्व करता है और गारंटी देता है कि:
एक। इसके पास इस अनुबंध में प्रवेश करने का कानूनी अधिकार और क्षमता है।
बी। इसके पास अपना व्यवसाय संचालित करने के लिए लागू कानूनों के तहत आवश्यक सभी पंजीकरण, लाइसेंस, परमिट और अनुमोदन हैं।
सी। शिमियो को सौंपी गई सभी जानकारी और दस्तावेज़ सत्य, पूर्ण, सटीक और भ्रामक नहीं हैं।
डी। यह शिमियो को उसके स्वामित्व, व्यावसायिक जानकारी, लाइसेंस या संपर्क विवरण में किसी भी महत्वपूर्ण परिवर्तन के बारे में तुरंत सूचित करेगा।
2.5 स्वीकृत या अस्वीकार करने का अधिकार
शिमियो अपने विवेक के आधार पर किसी भी व्यापारी एप्लिकेशन या उत्पाद सूची को स्वीकृत करने, अस्वीकार करने, निलंबित करने या हटाने का अधिकार सुरक्षित रखता है:
एक। लागू कानूनों या इस अनुबंध का उल्लंघन करता है।
बी। प्लेटफ़ॉर्म की प्रतिष्ठा, सुरक्षा या अखंडता को नुकसान पहुँच सकता है।
सी। इसमें नकली, निषिद्ध, असुरक्षित या उल्लंघनकारी उत्पाद शामिल हैं।
डी। इसके परिणामस्वरूप धोखाधड़ी, ग्राहक धोखाधड़ी, या नियामक गैर-अनुपालन होने की संभावना है।
2.6 सेवाओं में संशोधन
शिमियो समय-समय पर प्लेटफ़ॉर्म की किसी भी सुविधा, कार्यक्षमता या सेवा को पेश, संशोधित, निलंबित या बंद कर सकता है। जहां ऐसे परिवर्तन इस अनुबंध के तहत व्यापारी के अधिकारों या दायित्वों को भौतिक रूप से प्रभावित करते हैं, शिमियो व्यापारी को प्लेटफ़ॉर्म, ईमेल या किसी अन्य निर्दिष्ट संचार चैनल के माध्यम से उचित नोटिस प्रदान करेगा।
3. व्यापारिक दायित्व
3.1 सामान्य दायित्व
व्यापारी यह करेगा:
एक। अपने व्यवसाय को हर समय वैध, नैतिक और पेशेवर तरीके से संचालित करें।
बी। अपने व्यवसाय और उत्पादों से संबंधित सभी लागू कानूनों, विनियमों, सरकारी अधिसूचनाओं और उद्योग मानकों का अनुपालन करें।
सी। सुनिश्चित करें कि प्लेटफ़ॉर्म पर पेश किए गए सभी उत्पाद वास्तविक, सुरक्षित, व्यापारिक और अपने इच्छित उद्देश्य के लिए उपयुक्त हैं।
डी। अपना व्यवसाय संचालित करने और अपने उत्पाद बेचने के लिए आवश्यक सभी लाइसेंस, पंजीकरण, परमिट और अनुमोदन बनाए रखें।
ई. एक सुरक्षित, विश्वसनीय और ग्राहक-अनुकूल बाज़ार बनाए रखने में शिमियो के साथ सहयोग करें।
3.2 उत्पाद सूचियाँ
व्यापारी यह सुनिश्चित करेगा कि प्लेटफ़ॉर्म पर सूचीबद्ध प्रत्येक उत्पाद:
एक। इसमें सटीक शीर्षक, विवरण, विशिष्टताएँ, आयाम और मूल्य निर्धारण शामिल है।
बी। इसमें स्पष्ट और वास्तविक छवियां शामिल हैं जो उत्पाद का सटीक प्रतिनिधित्व करती हैं।
सी। इसमें गलत, भ्रामक या गुमराह करने वाली जानकारी शामिल नहीं है।
डी। प्लेटफ़ॉर्म पर प्रदर्शित मात्रा में उपलब्ध है।
ई. सभी लागू उत्पाद सुरक्षा और लेबलिंग आवश्यकताओं का अनुपालन करता है।
व्यापारी उत्पाद की उपलब्धता, विशिष्टताओं या मूल्य निर्धारण से संबंधित किसी भी बदलाव को तुरंत अपडेट करेगा।
3.3 मूल्य निर्धारण
व्यापारी यह करेगा:
एक। अपने उत्पादों का विक्रय मूल्य स्वतंत्र रूप से निर्धारित करें।
बी। सुनिश्चित करें कि प्लेटफ़ॉर्म पर प्रदर्शित कीमतें सटीक हैं और सभी लागू करों सहित हैं, जब तक कि अन्यथा निर्दिष्ट न हो।
सी। कीमतों में हेरफेर न करें, भ्रामक मूल्य निर्धारण प्रथाओं में संलग्न न हों, या कृत्रिम रूप से छूट न बढ़ाएं।
डी। जब तक इस अनुबंध के अनुसार ऑर्डर रद्द नहीं किया जाता है, तब तक ग्राहक द्वारा पुष्टिकृत ऑर्डर देते समय प्रदर्शित मूल्य का सम्मान करें।
3.4 इन्वेंटरी प्रबंधन
व्यापारी यह करेगा:
एक। स्वीकृत आदेशों को पूरा करने के लिए पर्याप्त सूची बनाए रखें।
बी। अधिक बिक्री को रोकने के लिए इन्वेंट्री स्तर को नियमित रूप से अपडेट करें।
सी। यदि कोई सूचीबद्ध उत्पाद अनुपलब्ध हो तो तुरंत शिमियो को सूचित करें।
डी। व्यापारी द्वारा प्रदान की गई गलत इन्वेंट्री जानकारी से होने वाले नुकसान के लिए जिम्मेदार बनें।
3.5 ऑर्डर पूर्ति
व्यापारी इससे सहमत है:
एक। शिमियो द्वारा निर्धारित समय सीमा के भीतर ऑर्डर स्वीकार या अस्वीकार करें।
बी। पारगमन के दौरान क्षति को रोकने के लिए उत्पादों को सुरक्षित रूप से पैक करें।
सी। सहमत समयसीमा के भीतर आदेश भेजें।
डी। सुनिश्चित करें कि ग्राहकों को वितरित उत्पाद दिए गए ऑर्डर से मेल खाते हों।
ई. ऑर्डर पूर्ति और डिलीवरी के संबंध में शिमियो और उसके लॉजिस्टिक्स भागीदारों के साथ सहयोग करें।
3.6 ग्राहक सेवा
व्यापारी यह करेगा:
एक। उत्पादों या ऑर्डर के संबंध में शिमियो द्वारा अग्रेषित प्रश्नों का तुरंत उत्तर दें।
बी। ग्राहकों की शिकायतों, रिटर्न, रिफंड, एक्सचेंज और वारंटी दावों के समाधान में सहयोग करें।
सी। ग्राहकों के साथ सभी संचार में पेशेवर आचरण बनाए रखें।
3.7 निषिद्ध आचरण
व्यापारी यह नहीं करेगा:
एक। नकली, चोरी हुए, समाप्त हो चुके, असुरक्षित या प्रतिबंधित उत्पाद बेचें।
बी। भ्रामक विज्ञापन या गलत उत्पाद जानकारी अपलोड करें।
सी। शिमियो के बाहर बिक्री पूरी करने के उद्देश्य से ग्राहकों को प्लेटफ़ॉर्म से दूर करने का प्रयास।
डी। समीक्षाओं, रेटिंगों या ग्राहकों की प्रतिक्रिया में हेरफेर करें।
ई. कपटपूर्ण, भ्रामक या गैरकानूनी गतिविधियों में संलग्न होना।
एफ। किसी तीसरे पक्ष के बौद्धिक संपदा अधिकारों का उल्लंघन।
जी। प्लेटफ़ॉर्म के उचित कामकाज या सुरक्षा में हस्तक्षेप करें।
3.8 सतत अनुपालन
व्यापारी स्वीकार करता है कि इस अनुभाग में निर्धारित दायित्वों का पालन करने में विफलता के परिणामस्वरूप प्लेटफ़ॉर्म तक उसकी पहुंच निलंबित या समाप्त हो सकती है, जहां इस अनुबंध के तहत अनुमति दी गई है वहां निपटान रोक दिया जा सकता है, उत्पाद लिस्टिंग को हटाया जा सकता है, या ग्राहकों, शिमियो या प्लेटफ़ॉर्म की अखंडता की रक्षा के लिए उचित रूप से आवश्यक कोई अन्य कार्रवाई की जा सकती है।
4. आदेश, वितरण और पूर्ति
4.1 ऑर्डर प्लेसमेंट
एक। ग्राहक प्लेटफ़ॉर्म के माध्यम से व्यापारी द्वारा सूचीबद्ध उत्पादों के लिए ऑर्डर दे सकते हैं।
बी। प्लेटफ़ॉर्म के माध्यम से सफल प्लेसमेंट और शिमियो द्वारा आवश्यक किसी भी सत्यापन प्रक्रिया के पूरा होने के बाद ही किसी ऑर्डर की पुष्टि की जाएगी।
सी। शिमियो प्लेटफ़ॉर्म, पंजीकृत ईमेल, मोबाइल एप्लिकेशन, या शिमियो द्वारा निर्दिष्ट किसी अन्य संचार विधि के माध्यम से व्यापारी को पुष्टि किए गए ऑर्डर के बारे में सूचित करेगा।
डी। व्यापारी निर्धारित समय सीमा के भीतर ऑर्डर सूचनाओं की निगरानी और जवाब देने के लिए जिम्मेदार होगा।
4.2 आदेश स्वीकृति और अस्वीकृति
एक। व्यापारी शिमियो द्वारा निर्दिष्ट समय सीमा के भीतर ऑर्डर को स्वीकार या अस्वीकार करेगा।
बी। व्यापारी किसी वैध कारण के बिना पुष्टि किए गए ऑर्डर को अस्वीकार नहीं करेगा, जिसमें निम्नलिखित शामिल हैं, लेकिन इन्हीं तक सीमित नहीं हैं:
सी। बार-बार ऑर्डर रद्द करने, देरी करने या ऑर्डर पूरा करने में विफलता के परिणामस्वरूप जुर्माना, निलंबन या व्यापारी खाता समाप्त किया जा सकता है।
4.3 उत्पाद पैकेजिंग
व्यापारी यह सुनिश्चित करेगा कि:
एक। परिवहन के दौरान क्षति, हानि या गिरावट को रोकने के लिए उत्पादों को ठीक से पैक किया जाता है।
बी। पैकेजिंग लागू सुरक्षा और कानूनी आवश्यकताओं का अनुपालन करती है।
सी। पैकेज में ऑर्डर में उल्लिखित सही उत्पाद, मात्रा और विशिष्टताएं शामिल हैं।
डी। ग्राहकों को समय पर डिलीवरी सुनिश्चित करने के लिए उत्पाद सहमत समयसीमा के भीतर तैयार किए जाते हैं।
4.4 वितरण जिम्मेदारियाँ
एक। डिलीवरी जिम्मेदारियाँ शिमियो द्वारा चयनित डिलीवरी मॉडल के आधार पर निर्धारित की जाएंगी।
बी। जहां शिमियो डिलीवरी सेवाएं प्रदान करता है, शिमियो अपने स्वयं के डिलीवरी कर्मियों या तीसरे पक्ष के लॉजिस्टिक्स भागीदारों के माध्यम से परिवहन का समन्वय करेगा।
सी। जहां व्यापारी डिलीवरी के लिए जिम्मेदार है, व्यापारी ऑर्डर की समय पर और सटीक डिलीवरी सुनिश्चित करेगा।
डी। व्यापारी डिलीवरी अपडेट, डिलीवरी के प्रमाण और ग्राहक संचार के संबंध में शिमियो के साथ सहयोग करेगा।
ई. शिमियो अपने उचित नियंत्रण से परे परिस्थितियों के कारण होने वाली देरी के लिए ज़िम्मेदार नहीं होगा, जिसमें मौसम की स्थिति, परिवहन व्यवधान, सरकारी प्रतिबंध, या अप्रत्याशित घटनाएँ शामिल हैं, लेकिन इन्हीं तक सीमित नहीं हैं।
4.5 विफल डिलीवरी
गलत उत्पाद जानकारी, खराब पैकेजिंग, या उत्पाद उपलब्ध कराने में विफलता सहित, व्यापारी के कारण जिम्मेदार कारणों से विफल डिलीवरी के मामले में:
एक। व्यापारी संबंधित लागतों के लिए जिम्मेदार हो सकता है, जिसमें डिलीवरी शुल्क, रिटर्न शुल्क या अन्य लागू खर्च शामिल हैं।
बी। शिमियो सुधारात्मक कार्रवाई कर सकता है, जिसमें चेतावनी, लिस्टिंग का निलंबन या व्यापारी खाते पर अस्थायी प्रतिबंध शामिल है।
4.6 ग्राहक अनुभव मानक
व्यापारी स्वीकार करता है कि प्लेटफ़ॉर्म की सफलता के लिए ग्राहकों की संतुष्टि आवश्यक है और वह इसे बनाए रखने के लिए सहमत है:
एक। सटीक उत्पाद जानकारी.
बी। समय पर ऑर्डर प्रोसेसिंग।
सी। अच्छी गुणवत्ता वाले उत्पाद।
डी। ग्राहकों के साथ व्यावसायिक संचार.
ई. ग्राहकों की समस्याओं के समाधान के लिए शिमियो के साथ सहयोग।
4.7 ऑर्डर रिकॉर्ड
एक। शिमियो प्लेटफ़ॉर्म के माध्यम से दिए गए ऑर्डर का इलेक्ट्रॉनिक रिकॉर्ड बनाए रखेगा।
बी। व्यापारी, व्यापारी डैशबोर्ड या शिमियो द्वारा प्रदान की गई अन्य प्रणालियों के माध्यम से प्रासंगिक ऑर्डर जानकारी तक पहुंच सकता है।
सी। दोनों पक्ष इस बात पर सहमत हैं कि शिमियो द्वारा बनाए गए इलेक्ट्रॉनिक रिकॉर्ड प्लेटफ़ॉर्म के माध्यम से किए गए लेनदेन के साक्ष्य के रूप में काम करेंगे, जब तक कि अन्यथा साबित न हो।
5. कमीशन, शुल्क और भुगतान निपटान
5.1 आयोग संरचना
एक। व्यापारी प्लेटफ़ॉर्म के माध्यम से पूरे किए गए प्रत्येक सफल लेनदेन के लिए शिमियो को कमीशन का भुगतान करने के लिए सहमत है।
बी। बाज़ार सेवाओं, प्रौद्योगिकी अवसंरचना, ग्राहक पहुंच, परिचालन सहायता और शिमियो द्वारा प्रदान की गई अन्य सेवाओं के लिए कमीशन लिया जाएगा।
सी। लागू कमीशन दर उत्पाद श्रेणी पर निर्भर करेगी और इसमें निर्दिष्ट की जाएगी अनुलग्नक ए (आयोग अनुसूची) इस समझौते से जुड़ा हुआ है.
डी। व्यापारी स्वीकार करता है और सहमत है कि उत्पाद श्रेणियों, व्यावसायिक आवश्यकताओं, प्रचार कार्यक्रमों या परिचालन लागत के आधार पर कमीशन दरें भिन्न हो सकती हैं।
5.2 आयोग का उद्देश्य
व्यापारी स्वीकार करता है कि शिमियो का आयोग प्लेटफ़ॉर्म के संचालन और विकास का समर्थन करता है, जिसमें शामिल हैं:
एक। शिमियो डिजिटल बाज़ार का विकास और रखरखाव।
बी। व्यापारियों को ऑनलाइन चैनलों के माध्यम से ग्राहकों तक पहुंच प्रदान करना।
सी। प्रौद्योगिकी अवसंरचना, सुरक्षा और प्लेटफ़ॉर्म सुधार।
डी। आदेश प्रबंधन और लेनदेन सुविधा।
ई. विपणन, प्रचार गतिविधियाँ और ग्राहक अधिग्रहण।
एफ। ग्राहक सहायता और बाज़ार संचालन।
जी। जहां लागू हो वहां रसद समन्वय और वितरण सहायता।
व्यापारी इस बात से सहमत है कि आयोग शिमियो द्वारा प्रदान किए गए समग्र मूल्य और व्यावसायिक अवसरों के लिए मुआवजे का प्रतिनिधित्व करता है।
5.3 कमीशन की गणना एवं कटौती
एक। कमीशन की गणना प्रत्येक पूर्ण लेनदेन के उत्पाद बिक्री मूल्य पर की जाएगी।
बी। व्यापारी को निपटान राशि जारी करने से पहले शिमियो ग्राहक से प्राप्त राशि से लागू कमीशन काट लेगा।
सी। व्यापारी के अंतिम भुगतान की गणना निम्नलिखित की कटौती के बाद की जाएगी:
5.4 भुगतान निपटान
एक। लागू सत्यापन और कटौती प्रक्रियाओं के पूरा होने के बाद शिमियो व्यापारी की देय राशि का निपटान करेगा।
बी। ऑनबोर्डिंग के दौरान व्यापारी द्वारा प्रदान किए गए बैंक खाते के विवरण पर निपटान किया जाएगा।
सी। व्यापारी यह सुनिश्चित करेगा कि शिमियो को प्रदान की गई सभी बैंकिंग जानकारी सटीक और अद्यतन है।
डी। व्यापारी द्वारा प्रदान किए गए गलत बैंक विवरण के कारण हुई देरी के लिए शिमियो जिम्मेदार नहीं होगा।
5.5 निपटान समयरेखा
एक। निपटान चक्र के बारे में व्यापारी को ऑनबोर्डिंग के दौरान या प्लेटफ़ॉर्म के माध्यम से सूचित किया जाएगा।
बी। शिमियो निम्नलिखित सहित निपटान चक्र प्रदान कर सकता है:
सी। शिमियो निम्नलिखित मामलों में अस्थायी रूप से निपटान कर सकता है:
5.6 कर और वैधानिक अनुपालन
एक। उत्पादों की बिक्री से उत्पन्न होने वाले सभी कर दायित्वों के अनुपालन के लिए व्यापारी पूरी तरह से जिम्मेदार होगा।
बी। व्यापारी शिमियो द्वारा आवश्यक वैध व्यापार और कर जानकारी प्रदान करेगा।
सी। लागू कानूनों के तहत जहां आवश्यक हो, शिमियो रोके गए करों सहित लागू करों में कटौती कर सकता है।
डी। व्यापारी को प्लेटफ़ॉर्म के माध्यम से की गई सभी बिक्री का उचित रिकॉर्ड बनाए रखना होगा।
5.7 रिफंड और समायोजन
एक। शिमियो रिफंड राशि, ग्राहक मुआवजा, जुर्माना, या लंबित या भविष्य के व्यापारी निपटान से अन्य वसूली योग्य राशि को समायोजित कर सकता है।
बी। यदि व्यापारी द्वारा देय राशि उपलब्ध निपटान से अधिक है, तो व्यापारी को शिमियो द्वारा सूचित समय सीमा के भीतर बकाया राशि का भुगतान करना होगा।
5.8 आयोग संरचना का संशोधन

रिफंड, कर, डिलीवरी शुल्क या अन्य स्वीकृत शुल्क जैसी लागू कटौतियों पर विचार करने के बाद अंतिम निपटान राशि भिन्न हो सकती है।
ए.4 श्रेणी वर्गीकरण
एक। शिमियो कमीशन उद्देश्यों के लिए लागू उत्पाद श्रेणी का निर्धारण करेगा।
बी। सटीक कमीशन गणना सुनिश्चित करने के लिए जहां आवश्यक हो, शिमियो उत्पादों को पुनर्वर्गीकृत कर सकता है।
सी। व्यापारी को सही वर्गीकरण में सहायता के लिए सटीक उत्पाद जानकारी प्रदान करनी होगी।
A.5 प्रोमोशनल कमीशन दरें
एक। शिमियो प्रमोशनल कमीशन दरें, परिचयात्मक ऑफर या व्यापारी विकास कार्यक्रम पेश कर सकता है।
बी। प्रमोशनल दरें किसी विशिष्ट अवधि, श्रेणी या व्यापारियों के समूह के लिए लागू हो सकती हैं।
सी। प्रमोशनल अवधि पूरी होने के बाद, मानक कमीशन दरें लागू होंगी जब तक कि अन्यथा सूचित न किया गया हो।
A.6 आयोग अनुसूची में परिवर्तन
एक। शिमियो के पास व्यावसायिक आवश्यकताओं, परिचालन लागत, बाजार स्थितियों या प्लेटफ़ॉर्म विकास के आधार पर इस आयोग अनुसूची को अद्यतन करने का अधिकार सुरक्षित है।
बी। किसी भी परिवर्तन के बारे में व्यापारियों को उचित माध्यम से सूचित किया जाएगा।

6. रिटर्न, रिफंड और रद्दीकरण नीति
6.1 उद्देश्य
यह अनुभाग ऑर्डर रद्दीकरण, रिटर्न, रिफंड और संबंधित समायोजन के संबंध में शिमियो, व्यापारियों और ग्राहकों के अधिकारों और जिम्मेदारियों को परिभाषित करता है।
इस नीति का उद्देश्य व्यापारियों के हितों की रक्षा करते हुए निष्पक्ष, पारदर्शी और ग्राहक-अनुकूल बाज़ार अनुभव सुनिश्चित करना है।
6.2 ग्राहक द्वारा पूर्ति से पहले रद्दीकरण
एक। शिमियो की लागू रद्दीकरण नीति के अधीन, ग्राहक ऑर्डर भेजे जाने या वितरित होने से पहले ऑर्डर रद्द करने का अनुरोध कर सकता है।
बी। यदि रद्दीकरण व्यापारी के कारण जिम्मेदार कारणों से होता है, जिसमें गलत इन्वेंट्री जानकारी या ऑर्डर को पूरा करने में असमर्थता शामिल है, तो व्यापारी संबंधित लागतों के लिए जिम्मेदार हो सकता है।
सी। यदि व्यापारी के नियंत्रण से परे कारणों से रद्दीकरण होता है, तो शिमियो परिस्थितियों की समीक्षा कर सकता है और उचित कार्रवाई निर्धारित कर सकता है।
6.3 रिटर्न और प्रतिस्थापन अनुरोध
एक। ग्राहक शिमियो की वापसी नीति के अनुसार उत्पादों के लिए रिटर्न या प्रतिस्थापन का अनुरोध कर सकते हैं।
बी। वापसी की पात्रता निम्नलिखित कारकों पर निर्भर हो सकती है:
सी। व्यापारी पात्र रिटर्न और प्रतिस्थापन अनुरोधों को संसाधित करने में शिमियो के साथ सहयोग करेगा।
6.4 रिटर्न के लिए व्यापारी की जिम्मेदारियाँ
व्यापारी निम्नलिखित कारणों से उत्पन्न होने वाले रिटर्न के लिए जिम्मेदार होगा:
एक। गलत उत्पाद वितरित किया गया.
बी। क्षतिग्रस्त या दोषपूर्ण उत्पाद.
सी। उत्पाद प्लेटफ़ॉर्म पर दिए गए विवरण या छवियों से मेल नहीं खाता।
डी। गुम वस्तुएँ या गलत मात्रा।
ई. खराब पैकेजिंग के परिणामस्वरूप डिलीवरी के दौरान क्षति हुई।
एफ। उत्पाद गुणवत्ता मानकों का कोई भी उल्लंघन।
6.5 गैर-वापसी योग्य उत्पाद
कुछ उत्पादों को उनकी प्रकृति, स्वच्छता संबंधी विचारों, अनुकूलन या अन्य वैध कारणों से गैर-वापसी योग्य के रूप में वर्गीकृत किया जा सकता है।
शिमियो ऐसी उत्पाद श्रेणियां निर्धारित कर सकता है जो वापस नहीं की जा सकतीं और ऐसी नीतियों के बारे में व्यापारियों को सूचित करेगा।
6.6 रिफंड प्रोसेसिंग
एक। जहां कोई ग्राहक रिफंड के लिए पात्र है, शिमियो लागू भुगतान प्रक्रिया के अनुसार रिफंड की प्रक्रिया कर सकता है।
बी। रिफंड राशि को व्यापारी के लंबित या भविष्य के निपटान से समायोजित किया जा सकता है जहां व्यापारी रिफंड के लिए जिम्मेदार है।
सी। शिमियो जहां लागू हो वहां रिटर्न शिपिंग, लॉजिस्टिक्स शुल्क या ग्राहक मुआवजे सहित अतिरिक्त लागत वसूल सकता है।
6.7 वापसी शिपिंग और रसद लागत
एक। वापसी शिपिंग लागत की जिम्मेदारी वापसी के कारण पर निर्भर करेगी।
बी। जहां रिटर्न व्यापारी-संबंधित मुद्दों के कारण होता है, व्यापारी लागू रिटर्न और लॉजिस्टिक्स लागत वहन कर सकता है।
सी। जहां रिटर्न ग्राहक की प्राथमिकता या व्यापारी से असंबंधित कारणों से होता है, शिमियो लागू लागत आवंटन निर्धारित कर सकता है।
6.8 कपटपूर्ण या अपमानजनक रिटर्न
एक। शिमियो के पास संदिग्ध रिटर्न अनुरोधों, धोखाधड़ी वाली गतिविधियों या रिटर्न प्रक्रिया के दुरुपयोग की जांच करने का अधिकार सुरक्षित है।
बी। शिमियो धोखाधड़ी वाले दावों को अस्वीकार करने, खातों को निलंबित करने या अन्य सुधारात्मक उपायों सहित उचित कार्रवाई कर सकता है।
6.9 व्यापारी सहयोग
व्यापारी इससे सहमत है:
एक। वापसी और रिफंड संबंधी अनुरोधों का तुरंत जवाब दें।
बी। शिमियो द्वारा अनुरोधित आवश्यक जानकारी या दस्तावेज़ प्रदान करें।
सी। उत्पादों, ऑर्डरों और पूर्ति गतिविधियों का उचित रिकॉर्ड बनाए रखें।
डी। ग्राहकों की शिकायतों का समय पर समाधान करने में सहयोग करें।
6.10 अंतिम निर्णय प्राधिकारी
शिमियो के पास बाज़ार में विश्वास और सेवा की गुणवत्ता बनाए रखने के लिए विवादों, रिटर्न, रिफंड और ग्राहक शिकायतों के संबंध में उचित निर्णय लेने का अधिकार सुरक्षित है।
ऐसे निर्णय उपलब्ध साक्ष्यों, प्लेटफ़ॉर्म नीतियों और लागू कानूनों पर विचार करके किए जाएंगे।
7. बौद्धिक संपदा अधिकार
7.1 शिमियो बौद्धिक संपदा का स्वामित्व
एक। शिमियो की बौद्धिक संपदा में सभी अधिकार, शीर्षक और हित, जिनमें शामिल हैं, लेकिन इन्हीं तक सीमित नहीं हैं:
शिमियो या उसके संबंधित लाइसेंसदाताओं की विशेष संपत्ति बनी रहेगी।
बी। इस अनुबंध में शामिल कुछ भी व्यापारी को शिमियो की बौद्धिक संपदा में कोई स्वामित्व अधिकार, शीर्षक या हित प्रदान नहीं करेगा।
सी। व्यापारी शिमियो की पूर्व लिखित अनुमति के बिना शिमियो की बौद्धिक संपदा की नकल, संशोधन, पुनरुत्पादन, वितरण या उपयोग नहीं करेगा।
7.2 व्यापारी को सीमित लाइसेंस
एक। इस अनुबंध की अवधि के दौरान, शिमियो व्यापारी को प्लेटफ़ॉर्म पर व्यापारी की भागीदारी को बढ़ावा देने के उद्देश्य से शिमियो-अनुमोदित ब्रांडिंग सामग्री का उपयोग करने के लिए एक सीमित, गैर-अनन्य, गैर-हस्तांतरणीय और प्रतिसंहरणीय लाइसेंस प्रदान करता है।
बी। व्यापारी शिमियो द्वारा प्रदान किए गए दिशानिर्देशों के अनुसार ही शिमियो ब्रांडिंग का उपयोग करेगा।
सी। इस अनुबंध के समाप्त होने पर, व्यापारी तुरंत शिमियो की बौद्धिक संपदा का उपयोग बंद कर देगा।
7.3 व्यापारी बौद्धिक संपदा
एक। व्यापारी अपनी बौद्धिक संपदा में सभी स्वामित्व अधिकार बरकरार रखता है, जिसमें शामिल हैं:
बी। इस अनुबंध में कुछ भी व्यापारी की बौद्धिक संपदा का स्वामित्व शिमियो को हस्तांतरित नहीं करता है।
7.4 व्यापारिक सामग्री का उपयोग करने का लाइसेंस

7.5 बौद्धिक संपदा अनुपालन
व्यापारी इसका प्रतिनिधित्व करता है और गारंटी देता है कि:
एक। यह प्लेटफ़ॉर्म पर अपलोड की गई सभी सामग्री का उपयोग करने के लिए आवश्यक अधिकार रखता है या प्राप्त कर चुका है।
बी। व्यापारी द्वारा सूचीबद्ध उत्पाद किसी तीसरे पक्ष के बौद्धिक संपदा अधिकारों का उल्लंघन नहीं करते हैं।
सी। यह अपने उत्पादों, छवियों, विवरणों या ब्रांडिंग से संबंधित उल्लंघन से उत्पन्न होने वाले किसी भी दावे के लिए पूरी तरह जिम्मेदार होगा।
7.6 निषिद्ध उपयोग
व्यापारी यह नहीं करेगा:
एक। शिमियो के प्लेटफ़ॉर्म, बिज़नेस मॉडल, तकनीक या ब्रांडिंग की प्रतिलिपि बनाएँ या उसकी नकल करें।
बी। अनधिकृत विपणन सामग्री बनाने के लिए शिमियो के नाम या प्रतिष्ठा का उपयोग करें।
सी। शिमियो से संबंधित कॉपीराइट नोटिस, ट्रेडमार्क, या स्वामित्व चिह्न हटा दें।
डी। शिमियो की प्रौद्योगिकी प्रणालियों को रिवर्स इंजीनियर करने, संशोधित करने या उसमें हस्तक्षेप करने का प्रयास।
7.7 बाज़ार सामग्री की सुरक्षा
शिमियो अपने प्लेटफ़ॉर्म सामग्री, प्रौद्योगिकी और व्यावसायिक जानकारी को किसी भी पक्ष द्वारा अनधिकृत उपयोग, पुनरुत्पादन या वितरण से बचाने का अधिकार सुरक्षित रखता है।
किसी भी अनधिकृत उपयोग के परिणामस्वरूप निलंबन, व्यापारी की पहुंच समाप्त हो सकती है और जहां उपयुक्त हो कानूनी कार्रवाई हो सकती है।
8. डेटा सुरक्षा और गोपनीयता
8.1 उद्देश्य
पार्टियाँ स्वीकार करती हैं कि अपने संबंधों के दौरान, वे ग्राहकों, व्यापारियों, व्यवसाय संचालन, लेनदेन और प्लेटफ़ॉर्म गतिविधियों से संबंधित कुछ सूचनाओं का आदान-प्रदान या उन तक पहुँच बना सकते हैं।
दोनों पक्ष ऐसी जानकारी की सुरक्षा करने और इसका उपयोग केवल इस समझौते से जुड़े वैध उद्देश्यों के लिए करने के लिए सहमत हैं।
8.2 ग्राहक डेटा सुरक्षा
एक। शिमियो प्लेटफ़ॉर्म के माध्यम से प्राप्त ग्राहक जानकारी, जिसमें ये शामिल हैं, लेकिन इन्हीं तक सीमित नहीं हैं:
गोपनीय जानकारी मानी जाएगी।
बी। व्यापारी ग्राहक जानकारी का उपयोग केवल ऑर्डर पूरा करने, ग्राहक सहायता प्रदान करने और शिमियो के माध्यम से किए गए लेनदेन से संबंधित वैध व्यावसायिक गतिविधियों को पूरा करने के लिए करेगा।
सी। व्यापारी यह नहीं करेगा:

8.3 व्यापारी डेटा सुरक्षा
एक। शिमियो ऑनबोर्डिंग और प्लेटफ़ॉर्म उपयोग के दौरान प्रदान की गई व्यापारी जानकारी की सुरक्षा के लिए उचित उपाय करेगा।
बी। व्यापारी की जानकारी में शामिल हो सकते हैं:
सी। शिमियो निम्नलिखित उद्देश्यों के लिए व्यापारी की जानकारी का उपयोग कर सकता है:
8.4 गोपनीय जानकारी
इस अनुबंध के प्रयोजन के लिए, गोपनीय जानकारी में शामिल हैं:

बी। मूल्य निर्धारण की जानकारी और आयोग संरचनाएँ।

एफ। कोई भी जानकारी चिह्नित या उचित रूप से गोपनीय समझी गई।
8.5 गोपनीय जानकारी के संबंध में दायित्व
प्राप्तकर्ता पक्ष इससे सहमत है:
एक। प्रकट की गई जानकारी की गोपनीयता बनाए रखें।
बी। गोपनीय जानकारी का उपयोग केवल इस अनुबंध से संबंधित उद्देश्यों के लिए करें।
सी। गोपनीय जानकारी तक पहुंच केवल उन अधिकृत कर्मियों तक ही सीमित रखें जिन्हें ऐसी जानकारी की आवश्यकता है।
डी। अनधिकृत प्रकटीकरण को रोकने के लिए उचित कदम उठाएं।
8.6 गोपनीय जानकारी के अपवाद
गोपनीय जानकारी में वह जानकारी शामिल नहीं होगी जो:

बी। प्रकटीकरण से पहले ही प्राप्तकर्ता पक्ष को कानूनी रूप से ज्ञात था।

8.7 डेटा सुरक्षा दायित्व
एक। प्रत्येक पक्ष जानकारी को अनधिकृत पहुंच, हानि, दुरुपयोग या प्रकटीकरण से बचाने के लिए उचित तकनीकी और संगठनात्मक सुरक्षा उपाय बनाए रखेगा।
बी। किसी भी संदिग्ध डेटा उल्लंघन के मामले में, प्रभावित पक्ष तुरंत दूसरे पक्ष को सूचित करेगा और उचित सुधारात्मक उपाय करने में सहयोग करेगा।
8.8 गोपनीयता दायित्वों का अस्तित्व
इस धारा के तहत गोपनीयता दायित्व इस अनुबंध की समाप्ति या समाप्ति के बाद भी लागू कानूनों के तहत आवश्यक अवधि के लिए या जब तक जानकारी कानूनी तरीकों से सार्वजनिक रूप से उपलब्ध नहीं हो जाती, तब तक जारी रहेगी।
9. निलंबन और समाप्ति
9.1 समझौते की अवधि
एक। यह समझौता प्रभावी तिथि से प्रभावी होगा और तब तक जारी रहेगा जब तक कि इस समझौते के प्रावधानों के अनुसार समाप्त नहीं हो जाता।
बी। इस अनुबंध और लागू प्लेटफ़ॉर्म नीतियों के निरंतर अनुपालन के अधीन शिमियो प्लेटफ़ॉर्म तक व्यापारी की पहुंच सक्रिय रहेगी।
9.2 व्यापारी खाते का निलंबन
शिमियो व्यापारी के खाते, उत्पाद सूची, या कुछ प्लेटफ़ॉर्म सुविधाओं तक पहुंच को अस्थायी रूप से निलंबित कर सकता है यदि:
एक। व्यापारी इस अनुबंध के किसी भी प्रावधान का उल्लंघन करता है।
बी। व्यापारी गलत, अधूरी या भ्रामक जानकारी प्रदान करता है।
सी। व्यापारी बार-बार ऑर्डर रद्द करता है, विलंब करता है, या पूरा करने में विफल रहता है।
डी। व्यापारी को अत्यधिक ग्राहक शिकायतें, विवाद या नकारात्मक प्रतिक्रिया प्राप्त होती है।
ई. व्यापारी प्रतिबंधित, नकली, असुरक्षित या अवैध उत्पादों की सूची बनाता है।
एफ। शिमियो को उचित रूप से धोखाधड़ी, गैरकानूनी या हानिकारक गतिविधि पर संदेह है।
जी। सुरक्षा, जांच, नियामक या कानूनी कारणों से निलंबन आवश्यक है।
9.3 निलंबन का प्रभाव
निलंबन के दौरान:
एक। शिमियो प्लेटफ़ॉर्म से उत्पाद सूची को अस्थायी रूप से हटा सकता है।
बी। शिमियो व्यापारी की नए ऑर्डर प्राप्त करने की क्षमता को प्रतिबंधित कर सकता है।
सी। विवादों, रिफंड, धोखाधड़ी, या बकाया दायित्वों की जांच के लिए जहां उचित रूप से आवश्यक हो, शिमियो निपटान को लंबित रख सकता है।
डी। व्यापारी आवश्यक दस्तावेज़, स्पष्टीकरण, या सुधारात्मक कार्रवाई प्रदान करके शिमियो के साथ सहयोग करेगा।
9.4 शिमियो द्वारा समाप्ति
शिमियो इस अनुबंध को तुरंत या नोटिस के साथ समाप्त कर सकता है यदि:
एक। व्यापारी इस अनुबंध का वास्तविक उल्लंघन करता है और निर्दिष्ट अवधि के भीतर ऐसे उल्लंघन को ठीक करने में विफल रहता है।

ई. व्यापारी दिवालिया हो जाता है, परिचालन बंद कर देता है, या व्यावसायिक दायित्वों को पूरा करने में असमर्थ हो जाता है।
एफ। व्यापारी के साथ निरंतर जुड़ाव शिमियो के लिए कानूनी, वित्तीय या परिचालन जोखिम पैदा कर सकता है।
9.5 व्यापारी द्वारा समाप्ति
एक। व्यापारी शिमियो को लिखित सूचना देकर इस अनुबंध को समाप्त कर सकता है।
बी। समाप्ति प्रभावित नहीं होगी:
9.6 समाप्ति का प्रभाव
समाप्ति पर:
एक। व्यापारी की प्लेटफ़ॉर्म तक पहुंच बंद की जा सकती है।
बी। सक्रिय उत्पाद सूची हटाई जा सकती है.
सी। व्यापारी शिमियो की ब्रांडिंग, सामग्री और बौद्धिक संपदा का उपयोग बंद कर देगा।
डी। शिमियो लागू कटौतियों, रिफंड, विवादों या बकाया राशि को समायोजित करने के बाद लंबित निपटान की प्रक्रिया करेगा।
ई. कानूनी अवधारण आवश्यकताओं के अधीन, जहां आवश्यक हो, दोनों पक्ष गोपनीय जानकारी वापस कर देंगे या हटा देंगे।
9.7 कुछ प्रावधानों का अस्तित्व
निम्नलिखित प्रावधान समाप्ति के बाद भी जारी रहेंगे:

एक। व्यापारी स्वीकार करता है कि शिमियो एक बाज़ार मंच के रूप में काम करता है जो व्यापारियों और ग्राहकों के बीच लेनदेन की सुविधा प्रदान करता है।
बी। शिमियो व्यापारी उत्पादों का निर्माण, स्वामित्व या बिक्री नहीं करता है और उसे प्लेटफ़ॉर्म पर व्यापारियों द्वारा सूचीबद्ध उत्पादों का विक्रेता, निर्माता, वितरक या आपूर्तिकर्ता नहीं माना जाएगा।
सी। शिमियो अपने प्लेटफ़ॉर्म संचालन के हिस्से के रूप में बाज़ार सेवाएँ, प्रौद्योगिकी अवसंरचना, ग्राहक सहायता, विपणन सहायता, भुगतान सुविधा, रसद समन्वय और उत्पाद सत्यापन गतिविधियाँ प्रदान कर सकता है।
डी। व्यापारी स्वीकार करता है कि उत्पादों की गुणवत्ता, प्रामाणिकता, वैधता, सुरक्षा और अनुपालन की प्राथमिक जिम्मेदारी व्यापारी की है।
10.2 उत्पाद सत्यापन और निरीक्षण अधिकार
10.2.1 उत्पाद सत्यापन का उद्देश्य
शिमियो एक विश्वसनीय, पारदर्शी और ग्राहक-केंद्रित बाज़ार बनाए रखने के लिए प्रतिबद्ध है। ग्राहकों के विश्वास की रक्षा करने और प्लेटफ़ॉर्म गुणवत्ता मानकों को बनाए रखने के लिए, शिमियो उत्पाद सत्यापन, निरीक्षण और गुणवत्ता समीक्षा गतिविधियों का संचालन करने का अधिकार सुरक्षित रखता है।
सत्यापन के उद्देश्य में शामिल हैं:
एक। यह सुनिश्चित करना कि प्लेटफ़ॉर्म पर सूचीबद्ध उत्पाद व्यापारी द्वारा प्रदान किए गए विवरण, छवियों, विशिष्टताओं और अभ्यावेदन से मेल खाते हैं।
बी। गलत उत्पाद, नकली उत्पाद, क्षतिग्रस्त उत्पाद, भ्रामक लिस्टिंग और ग्राहक शिकायतों की घटनाओं को कम करना।
सी। शिमियो पर काम करने वाले व्यापारियों के बीच लगातार गुणवत्ता मानकों को बनाए रखना।
डी। ग्राहक विश्वास और समग्र बाज़ार अनुभव में सुधार।
10.2.2 उत्पादों का निरीक्षण करने का अधिकार
शिमियो के पास सीधे या अधिकृत प्रतिनिधियों, कर्मचारियों, भागीदारों या तृतीय-पक्ष निरीक्षण एजेंसियों के माध्यम से व्यापारिक उत्पादों का निरीक्षण, सत्यापन या समीक्षा करने का अधिकार होगा।
ऐसा निरीक्षण किया जा सकता है:
एक। मर्चेंट ऑनबोर्डिंग को मंजूरी देने से पहले।
बी। उत्पाद सूचीकरण को मंजूरी देने से पहले.
सी। प्लेटफ़ॉर्म पर व्यापारी की सक्रिय भागीदारी के दौरान।
डी। ग्राहकों की शिकायतें, वापसी अनुरोध या गुणवत्ता संबंधी चिंताएँ प्राप्त होने के बाद।
ई. शिमियो द्वारा आयोजित आवधिक गुणवत्ता ऑडिट के भाग के रूप में।
एफ। जब भी शिमियो उचित रूप से मानता है कि ग्राहकों या प्लेटफ़ॉर्म की अखंडता की सुरक्षा के लिए सत्यापन आवश्यक है।
10.2.3 निरीक्षण का दायरा
उत्पाद सत्यापन में निम्नलिखित शामिल हो सकते हैं, लेकिन यह इन्हीं तक सीमित नहीं होंगे:
एक। सत्यापन कि उत्पाद व्यापारी द्वारा प्रदान की गई जानकारी से मेल खाते हैं, जिसमें शामिल हैं:
बी। उत्पाद की स्थिति, गुणवत्ता, कार्यक्षमता और पैकेजिंग मानकों का सत्यापन।
सी। उत्पादों की प्रामाणिकता और वैधता का सत्यापन।
डी। सहायक दस्तावेज़ों की समीक्षा, जिनमें शामिल हैं:
ई. लागू कानूनों, सुरक्षा आवश्यकताओं और प्लेटफ़ॉर्म नीतियों के अनुपालन का सत्यापन।
10.2.4 निरीक्षण के दौरान व्यापारी का सहयोग
व्यापारी किसी भी उत्पाद सत्यापन प्रक्रिया के दौरान शिमियो के साथ पूर्ण सहयोग करने के लिए सहमत है।
व्यापारी यह करेगा:
एक। जहां आवश्यक हो, उत्पादों और प्रासंगिक सूची तक पहुंच प्रदान करें।
बी। शिमियो द्वारा अनुरोधित सटीक जानकारी और दस्तावेज़ प्रदान करें।
सी। उत्पादों, पैकेजिंग और संबंधित रिकॉर्ड के निरीक्षण की अनुमति दें।
डी। शिमियो द्वारा निर्दिष्ट समय सीमा के भीतर सत्यापन अनुरोधों का जवाब दें।
ई. निरीक्षण के दौरान कोई समस्या पाए जाने पर सुधारात्मक कार्रवाई करें।
10.2.5 उत्पाद अनुमोदन, प्रतिबंध और निष्कासन
एक। शिमियो के पास गुणवत्ता मानकों, ग्राहक सुरक्षा चिंताओं, कानूनी आवश्यकताओं या प्लेटफ़ॉर्म नीतियों के आधार पर किसी भी उत्पाद सूची को स्वीकृत करने, अस्वीकार करने, प्रतिबंधित करने, संशोधित करने या हटाने का अधिकार सुरक्षित है।
बी। शिमियो ऐसे उत्पादों को प्रतिबंधित या हटा सकता है:
सी। शिमियो द्वारा किसी भी उत्पाद अनुमोदन या सत्यापन को उत्पाद के लिए गारंटी, प्रमाणीकरण, वारंटी या जिम्मेदारी की स्वीकृति नहीं माना जाएगा।
10.2.6 ग्राहक शिकायत जांच
एक। जहां उत्पाद की गुणवत्ता, प्रामाणिकता, गलत डिलीवरी, दोष या गलत बयानी के संबंध में ग्राहक की शिकायत उत्पन्न होती है, शिमियो जांच कर सकता है।
बी। जांच में ये शामिल हो सकते हैं:
सी। व्यापारी ऐसी जांच के दौरान शिमियो के साथ सहयोग करेगा।
डी। जांच परिणामों के आधार पर, शिमियो निम्न सहित कार्रवाई कर सकता है:
10.2.7 निरीक्षण दायित्व हस्तांतरित नहीं करता है
एक। व्यापारी स्वीकार करता है कि शिमियो द्वारा किया गया कोई भी निरीक्षण, सत्यापन, अनुमोदन, या समीक्षा उत्पादों की जिम्मेदारी व्यापारी से शिमियो को स्थानांतरित नहीं करती है।
बी। व्यापारी इसके लिए पूरी तरह जिम्मेदार रहेगा:
सी। शिमियो को केवल इसलिए जिम्मेदार नहीं माना जाएगा क्योंकि उसने सत्यापन गतिविधियाँ कीं।
10.2.8 आवधिक गुणवत्ता लेखापरीक्षा
एक। शिमियो व्यापारी प्रदर्शन और उत्पाद मानकों का समय-समय पर गुणवत्ता ऑडिट कर सकता है।
बी। ऐसे ऑडिट पर विचार किया जा सकता है:
सी। शिमियो को ऑडिट परिणामों के आधार पर व्यापारियों से सुधारात्मक कार्रवाई की आवश्यकता हो सकती है।
10.2.9 झूठी सूचना या असहयोग
यदि व्यापारी:
एक। गलत, अधूरी या भ्रामक उत्पाद जानकारी प्रदान करता है;
बी। उचित निरीक्षण अनुरोधों को अस्वीकार करता है;
सी। कपटपूर्ण दस्तावेज़ प्रदान करता है;
डी। गुणवत्ता सत्यापन से बचने का प्रयास;
शिमियो व्यापारी खाते को निलंबित या समाप्त कर सकता है और इस अनुबंध के तहत अनुमत कोई अन्य कार्रवाई कर सकता है।
10.2.10 निरीक्षण उत्तरदायित्व की सीमा
व्यापारी स्वीकार करता है कि शिमियो की निरीक्षण गतिविधियाँ केवल बाज़ार गुणवत्ता प्रबंधन उद्देश्यों के लिए की जाती हैं।
शिमियो यह गारंटी नहीं देता है कि निरीक्षण के माध्यम से प्रत्येक दोष, उल्लंघन या उत्पाद समस्या की पहचान की जाएगी।
व्यापारी यह सुनिश्चित करने के लिए अंततः जिम्मेदार है कि शिमियो के माध्यम से बेचे जाने वाले सभी उत्पाद ग्राहकों की अपेक्षाओं को पूरा करते हैं और लागू कानूनों का अनुपालन करते हैं।
10.3 व्यापारिक दायित्व
10.3.1 उत्पादों के लिए जिम्मेदारी
एक। व्यापारी शिमियो प्लेटफ़ॉर्म के माध्यम से सूचीबद्ध, विपणन, बेचे या वितरित किए गए सभी उत्पादों के लिए पूरी तरह से जिम्मेदार होगा।
बी। व्यापारी प्रतिनिधित्व करता है और गारंटी देता है कि सभी उत्पाद:
सी। व्यापारी यह सुनिश्चित करने के लिए ज़िम्मेदार होगा कि ग्राहकों को वही उत्पाद प्राप्त हों जो खरीदारी के समय दर्शाए गए हों।
10.3.2 उत्पाद की गुणवत्ता और सुरक्षा के लिए जिम्मेदारी
व्यापारी इसके लिए पूरी जिम्मेदारी वहन करेगा:
एक। विनिर्माण दोष, उत्पाद दोष, या गुणवत्ता संबंधी समस्याएं।
बी। गलत, अपूर्ण, क्षतिग्रस्त या नकली उत्पाद।
सी। गलत विवरण या प्रस्तुतिकरण के कारण ग्राहकों की अपेक्षाओं को पूरा करने में उत्पादों की विफलता।
डी। व्यापारिक उत्पादों के उपयोग या उपभोग से उत्पन्न होने वाली कोई भी चोट, क्षति, हानि या दावा।
ई. लागू उत्पाद सुरक्षा मानकों और विनियमों का अनुपालन।
10.3.3 व्यापारी सूचना के लिए जिम्मेदारी
व्यापारी यह सुनिश्चित करेगा कि शिमियो को सभी जानकारी प्रदान की जाए, जिसमें शामिल हैं:
एक। व्यवसाय विवरण;
बी। पंजीकरण विवरण;
सी। कर सूचना;
डी। बैंक खाता संबंधी जानकारी;
ई. उत्पाद की जानकारी;
एफ। मूल्य निर्धारण और सूची विवरण;
सटीक, पूर्ण और अद्यतन है।
व्यापारी द्वारा प्रदान की गई गलत या भ्रामक जानकारी से उत्पन्न होने वाले किसी भी नुकसान, क्षति, जुर्माना या विवाद के लिए व्यापारी जिम्मेदार होगा।
10.3.4 ग्राहक शिकायतों के लिए जिम्मेदारी
एक। निम्नलिखित से उत्पन्न होने वाली उत्पाद-संबंधी शिकायतों के समाधान के लिए व्यापारी जिम्मेदार होगा:
बी। ग्राहक की शिकायतों की जांच और समाधान में व्यापारी शिमियो के साथ सहयोग करेगा।
सी। बार-बार शिकायतें, खराब उत्पाद गुणवत्ता, या ग्राहक समस्याओं को हल करने में विफलता के परिणामस्वरूप शिमियो द्वारा सुधारात्मक कार्रवाई की जा सकती है।
10.3.5 कानूनों और विनियमों का अनुपालन
व्यापारी निम्नलिखित से संबंधित सभी लागू कानूनों के अनुपालन के लिए पूरी तरह जिम्मेदार होगा:
एक। उत्पाद की बिक्री और वितरण.
बी। व्यवसाय पंजीकरण और लाइसेंस।
सी। कर दायित्व.
डी। उपभोक्ता संरक्षण आवश्यकताएँ.
ई. उत्पाद सुरक्षा आवश्यकताएँ.
एफ। बौद्धिक संपदा अधिकार।
जी। व्यापारी उत्पादों पर लागू उद्योग-विशिष्ट नियम।
व्यापारी द्वारा किए गए कानूनों के किसी भी उल्लंघन के लिए शिमियो जिम्मेदार नहीं होगा।
10.3.6 व्यापारी प्रतिनिधियों के लिए जिम्मेदारी
एक। व्यापारी अपने कर्मचारियों, प्रतिनिधियों, एजेंटों और अधिकृत कर्मियों के कार्यों और आचरण के लिए जिम्मेदार होगा।
बी। व्यापारी की ओर से कार्य करने वाले व्यक्तियों द्वारा इस अनुबंध का कोई भी उल्लंघन व्यापारी द्वारा ही उल्लंघन माना जाएगा।
10.3.7 वित्तीय उत्तरदायित्व
व्यापारी निम्नलिखित के कारण उत्पन्न होने वाली सभी लागतों, हानियों, दंडों, रिफंडों, मुआवजों, क्षतियों या खर्चों के लिए जिम्मेदार होगा:
एक। व्यापारी-संबंधी त्रुटियाँ.
बी। उत्पाद से संबंधित मुद्दे.
सी। आदेशों को पूरा करने में विफलता.
डी। व्यापारी के कार्यों के कारण ग्राहक के दावे।
ई. प्लेटफ़ॉर्म नीतियों का उल्लंघन.
शिमियो लंबित निपटान से कटौती के माध्यम से या व्यापारी से सीधे भुगतान का अनुरोध करके ऐसी राशि की वसूली कर सकता है।
10.3.8 व्यापारी उत्तरदायित्व का कोई हस्तांतरण नहीं
व्यापारी स्वीकार करता है कि उत्पाद सत्यापन, ग्राहक सहायता, भुगतान प्रसंस्करण, या रसद सहायता सहित बाज़ार सुविधा प्रदाता के रूप में शिमियो की भूमिका, व्यापारी की जिम्मेदारियों या देनदारियों को शिमियो को हस्तांतरित नहीं करती है।
व्यापारी अपने खाते के माध्यम से किए गए उत्पादों और लेनदेन के लिए जिम्मेदार प्राथमिक पक्ष बना हुआ है।
11. अप्रत्याशित घटना
11.1 अप्रत्याशित घटना की परिभाषा
"अप्रत्याशित घटना" का अर्थ है प्रभावित पक्ष के उचित नियंत्रण से परे कोई भी घटना, परिस्थिति या स्थिति जो इस समझौते के तहत दायित्वों के प्रदर्शन को रोकती है, विलंबित करती है या प्रतिबंधित करती है।
अप्रत्याशित घटनाएँ शामिल हो सकती हैं, लेकिन इन्हीं तक सीमित नहीं हैं:
एक। प्राकृतिक आपदाएँ, जिनमें शामिल हैं:
बी। सरकारी कार्रवाइयां, जिनमें शामिल हैं:
सी। सार्वजनिक आपातस्थितियाँ, जिनमें शामिल हैं:
डी। तकनीकी और बुनियादी ढाँचे की विफलताएँ, जिनमें शामिल हैं:
ई. श्रम-संबंधी घटनाएँ, जिनमें शामिल हैं:
एफ। परिवहन और रसद व्यवधान, जिनमें शामिल हैं:
जी। कोई अन्य घटना जिसे प्रभावित पक्ष द्वारा उचित रूप से रोका या नियंत्रित नहीं किया जा सकता है।
11.2 अप्रत्याशित घटना का प्रभाव
एक। किसी अप्रत्याशित घटना से प्रभावित किसी पक्ष को अपने दायित्वों को पूरा करने में विफलता या देरी के लिए इस समझौते का उल्लंघन करने वाला नहीं माना जाएगा, जब तक कि ऐसी विफलता अप्रत्याशित घटना के कारण न हुई हो।
बी। प्रभावित पक्ष अप्रत्याशित घटना के प्रभाव को कम करने और यथाशीघ्र सामान्य प्रदर्शन फिर से शुरू करने के लिए उचित प्रयास करेगा।
11.3 अप्रत्याशित घटना की सूचना
एक। प्रभावित पक्ष किसी अप्रत्याशित घटना के बारे में जागरूक होने के बाद उचित अवधि के भीतर दूसरे पक्ष को सूचित करेगा।
बी। ऐसे नोटिस में, जहां उचित रूप से संभव हो, शामिल होगा:
11.4 दायित्वों का निलंबन
एक। अप्रत्याशित घटना की निरंतरता के दौरान, प्रभावित दायित्वों को अस्थायी रूप से निलंबित किया जा सकता है।
बी। ऐसी घटनाओं के कारण सीधे होने वाली देरी के लिए कोई भी पक्ष जिम्मेदार नहीं होगा।
सी। अप्रत्याशित घटना के घटित होने से पहले ही अर्जित भुगतान दायित्वों को स्वचालित रूप से माफ नहीं किया जाएगा जब तक कि अन्यथा सहमति न हो।
11.5 अप्रत्याशित घटना के दौरान प्लेटफार्म संचालन
एक। अप्रत्याशित घटना के कारण जहां आवश्यक हो, शिमियो प्लेटफ़ॉर्म सेवाओं को अस्थायी रूप से प्रतिबंधित, निलंबित या संशोधित कर सकता है।
बी। ऐसी घटनाओं के कारण अस्थायी निलंबन, कम उपलब्धता, या प्लेटफ़ॉर्म सेवाओं के संशोधन से होने वाले नुकसान के लिए शिमियो उत्तरदायी नहीं होगा।
11.6 विस्तारित अप्रत्याशित घटना
यदि कोई अप्रत्याशित घटना लंबे समय तक जारी रहती है और किसी भी पक्ष की अपने दायित्वों को पूरा करने की क्षमता को महत्वपूर्ण रूप से प्रभावित करती है:
एक। पार्टियां उचित समाधानों पर चर्चा कर सकती हैं।
बी। यदि निरंतर प्रदर्शन व्यावसायिक रूप से अव्यावहारिक हो जाता है तो कोई भी पक्ष लिखित सूचना देकर इस अनुबंध को समाप्त कर सकता है।
11.7 उत्तरजीविता
अप्रत्याशित घटना के कारण इस अनुबंध की समाप्ति से समाप्ति से पहले अर्जित दायित्वों पर कोई प्रभाव नहीं पड़ेगा, जिसमें भुगतान दायित्व, गोपनीयता दायित्व और समाप्ति से बचने के लिए कोई भी प्रावधान शामिल हैं।
12. विवाद समाधान और शासकीय कानून
12.1 सद्भावना संकल्प
एक। पार्टियां इस बात पर सहमत हैं कि इस समझौते से उत्पन्न होने वाले या इससे संबंधित किसी भी विवाद, असहमति, दावे या विवाद को पहले सद्भावना चर्चा के माध्यम से हल करने का प्रयास किया जाएगा।
बी। कोई भी पक्ष विवाद की प्रकृति और वांछित समाधान का वर्णन करते हुए लिखित सूचना प्रदान कर सकता है।
सी। दोनों पक्ष उचित अवधि के भीतर विवाद को सौहार्दपूर्ण ढंग से सुलझाने के लिए उचित प्रयास करेंगे।
12.2 वृद्धि प्रक्रिया
यदि प्रारंभिक चर्चा से विवाद का समाधान नहीं हो पाता है:
एक। मामले को आगे की समीक्षा के लिए दोनों पक्षों के नामित प्रतिनिधियों के पास भेजा जा सकता है।
बी। विवाद को समझने और हल करने के लिए पार्टियां सहयोग करेंगी और आवश्यक प्रासंगिक जानकारी का आदान-प्रदान करेंगी।
सी। किसी विवाद के दौरान शिमियो द्वारा लिया गया कोई भी अस्थायी परिचालन निर्णय विवाद का समाधान होने तक प्रभावी रहेगा।
12.3 मध्यस्थता
एक। यदि सद्भावनापूर्ण चर्चा के बाद भी विवाद अनसुलझा रहता है, तो पक्ष मध्यस्थता के माध्यम से मामले को सुलझाने के लिए पारस्परिक रूप से सहमत हो सकते हैं।
बी। मध्यस्थता कार्यवाही भारत में लागू मध्यस्थता कानूनों के अनुसार आयोजित की जाएगी।
सी। मध्यस्थता का संचालन पारस्परिक रूप से नियुक्त मध्यस्थ द्वारा किया जाएगा।
डी। मध्यस्थता की भाषा अंग्रेजी होगी जब तक कि अन्यथा पारस्परिक सहमति न हो।
ई. मध्यस्थ का निर्णय अंतिम और दोनों पक्षों पर बाध्यकारी होगा।
12.4 कानूनी कार्यवाही
एक। इस अनुबंध में कोई भी चीज़ किसी भी पक्ष को जहां आवश्यक हो, तत्काल कानूनी उपाय खोजने से नहीं रोकेगी, जिसमें शामिल हैं:
बी। लागू मध्यस्थता प्रावधानों के अधीन, विवाद इस समझौते के तहत निर्दिष्ट अदालतों के क्षेत्राधिकार के अधीन होंगे।
12.5 शासी कानून
एक। यह समझौता भारत के कानूनों के अनुसार शासित और व्याख्या किया जाएगा।
बी। पार्टियां इस बात पर सहमत हैं कि इस समझौते से संबंधित सभी मामलों की व्याख्या लागू भारतीय कानूनों, नियमों और विनियमों के अनुसार की जाएगी।
12.6 क्षेत्राधिकार
एक। पार्टियां इस बात पर सहमत हैं कि शिमियो द्वारा निर्दिष्ट क्षेत्राधिकार में स्थित अदालतों के पास लागू मध्यस्थता प्रावधानों के अधीन, इस समझौते से उत्पन्न होने वाले विवादों पर अधिकार होगा।
बी। व्यापारी विवादों के समाधान के लिए ऐसे क्षेत्राधिकार को प्रस्तुत करने के लिए सहमत है।
12.7 विवादों के दौरान सेवाओं को जारी रखना
एक। जब तक अन्यथा कानून द्वारा आवश्यक न हो या शिमियो, ग्राहकों या प्लेटफ़ॉर्म की सुरक्षा के लिए आवश्यक न हो, पक्ष विवाद समाधान प्रक्रिया के दौरान अपने निर्विवाद दायित्वों का पालन करना जारी रखेंगे।
बी। शिमियो के पास व्यापारिक पहुंच को अस्थायी रूप से निलंबित करने का अधिकार सुरक्षित है, जहां निरंतर पहुंच परिचालन, वित्तीय, कानूनी या ग्राहक जोखिम पैदा कर सकती है।
12.8 लागत और व्यय
प्रत्येक पक्ष विवाद समाधान से संबंधित अपनी लागत और व्यय स्वयं वहन करेगा जब तक कि किसी मध्यस्थ, अदालत या लागू कानून द्वारा अन्यथा निर्धारित न किया जाए।
12.9 उत्तरजीविता
इस धारा के तहत दायित्व किसी भी चल रहे विवाद को हल करने के लिए आवश्यक सीमा तक इस समझौते की समाप्ति या समाप्ति से बचे रहेंगे।
13. सामान्य प्रावधान
13.1 संपूर्ण समझौता
एक। यह अनुबंध, इसके अनुलग्नकों और संदर्भ द्वारा शामिल किसी भी नीति, दिशानिर्देश या शर्तों के साथ, शिमियो और व्यापारी के बीच संपूर्ण समझौते का गठन करता है।
बी। यह समझौता इस समझौते की विषय वस्तु से संबंधित सभी पूर्व चर्चाओं, संचार, अभ्यावेदन या समझ, चाहे लिखित हो या मौखिक, का स्थान लेता है।
सी। कोई भी संशोधन, संशोधन, या अतिरिक्त शर्तें केवल तभी मान्य होंगी जब इस अनुबंध के अनुसार सूचित और स्वीकार किया जाएगा।
13.2 संशोधन एवं परिवर्तन
एक। शिमियो के पास इस अनुबंध, प्लेटफ़ॉर्म नीतियों, आयोग संरचनाओं, परिचालन दिशानिर्देशों या सेवा शर्तों को समय-समय पर संशोधित, अद्यतन या संशोधित करने का अधिकार सुरक्षित है।
बी। शिमियो उचित संचार चैनलों के माध्यम से भौतिक परिवर्तनों की उचित सूचना प्रदान करेगा।
सी। ऐसे परिवर्तनों के प्रभावी होने के बाद प्लेटफ़ॉर्म का निरंतर उपयोग अद्यतन शर्तों की स्वीकृति माना जाएगा।
13.3 पार्टियों के बीच संबंध
एक। शिमियो और मर्चेंट के बीच का संबंध एक स्वतंत्र बाज़ार प्लेटफ़ॉर्म प्रदाता और एक स्वतंत्र व्यापारी का है।
बी। इस अनुबंध में शामिल कुछ भी नहीं बनेगा:
सी। व्यापारी स्वतंत्र रूप से अपना व्यवसाय संचालित करेगा और अपने कर्मचारियों, खर्चों, करों और दायित्वों के लिए स्वयं जिम्मेदार रहेगा।
13.4 असाइनमेंट
एक। व्यापारी शिमियो की पूर्व लिखित स्वीकृति के बिना इस अनुबंध के तहत अपने अधिकारों या दायित्वों को किसी तीसरे पक्ष को हस्तांतरित, आवंटित या प्रत्यायोजित नहीं करेगा।
बी। शिमियो इस अनुबंध के तहत अपने अधिकारों और दायित्वों को इन्हें सौंप या हस्तांतरित कर सकता है:
13.5 नोटिस
एक। इस अनुबंध के तहत आवश्यक कोई भी नोटिस या संचार निम्नलिखित के माध्यम से प्रदान किया जाएगा:
बी। व्यापारी यह सुनिश्चित करेगा कि ऑनबोर्डिंग के दौरान प्रदान की गई संपर्क जानकारी सटीक और अद्यतन रहे।
13.6 छूट
एक। इस अनुबंध के किसी भी प्रावधान को लागू करने में किसी भी पक्ष द्वारा विफलता या देरी को उस प्रावधान की छूट नहीं माना जाएगा।
बी। कोई भी छूट तभी प्रभावी होगी जब ऐसी छूट देने वाली पार्टी द्वारा लिखित रूप में प्रदान की जाएगी।
13.7 पृथक्करणीयता
एक। यदि इस अनुबंध का कोई भी प्रावधान अमान्य, अवैध या अप्रवर्तनीय पाया जाता है, तो शेष प्रावधान वैध और लागू करने योग्य बने रहेंगे।
बी। पार्टियाँ किसी भी अमान्य प्रावधान को ऐसे वैध प्रावधान से बदलने का प्रयास करेंगी जो मूल इरादे को बारीकी से दर्शाता हो।
13.8 कोई तृतीय-पक्ष लाभार्थी नहीं
एक। यह समझौता पूरी तरह से शिमियो और व्यापारी के बीच हुआ है।
बी। स्पष्ट रूप से बताए गए को छोड़कर, इस अनुबंध के तहत किसी तीसरे पक्ष के पास कोई अधिकार, दावा या लाभ नहीं होगा।
13.9 शीर्षक
इस अनुबंध में उपयोग किए गए शीर्षक और अनुभाग शीर्षक केवल सुविधा के लिए हैं और किसी भी प्रावधान की व्याख्या को प्रभावित नहीं करेंगे।
13.10 इलेक्ट्रॉनिक स्वीकृति
एक। व्यापारी इस बात से सहमत है कि डिजिटल हस्ताक्षर, ऑनलाइन पुष्टिकरण, या प्लेटफ़ॉर्म स्वीकृति सहित इलेक्ट्रॉनिक तरीकों के माध्यम से इस समझौते की स्वीकृति कानूनी रूप से बाध्यकारी होगी।
बी। शिमियो द्वारा बनाए गए इलेक्ट्रॉनिक रिकॉर्ड को प्लेटफ़ॉर्म के माध्यम से की गई स्वीकृति और लेनदेन का वैध साक्ष्य माना जाएगा।
13.11 दायित्वों का अस्तित्व
कोई भी प्रावधान जो अपनी प्रकृति के कारण इस अनुबंध की समाप्ति या समाप्ति के बाद जारी रखने का इरादा रखता है, प्रभावी रहेगा, जिसमें शामिल हैं:
13.12 व्याख्या
एक। इस समझौते और इसके अनुबंधों के बीच किसी भी टकराव की स्थिति में, समझौते की शर्तें तब तक प्रभावी रहेंगी जब तक कि स्पष्ट रूप से अन्यथा न कहा गया हो।
बी। किसी भी अस्पष्टता की व्याख्या इस तरीके से की जाएगी जो एक निष्पक्ष, सुरक्षित और विश्वसनीय बाज़ार पारिस्थितिकी तंत्र को बनाए रखने के उद्देश्य का समर्थन करती है।
14. व्यापारी घोषणा, स्वीकृति और हस्ताक्षर
14.1 व्यापारी घोषणा
व्यापारी एतद्द्वारा घोषणा और पुष्टि करता है कि:
एक। व्यापारी ने इस अनुबंध और इसके अनुलग्नकों में उल्लिखित सभी नियमों और शर्तों को पढ़ लिया है, समझ लिया है और उनसे सहमत है।
बी। ऑनबोर्डिंग के दौरान व्यापारी द्वारा प्रदान की गई जानकारी और दस्तावेज़ सत्य, सटीक, पूर्ण और अद्यतित हैं।
सी। व्यापारी के पास इस अनुबंध में प्रवेश करने और शिमियो प्लेटफ़ॉर्म के माध्यम से अपना व्यवसाय संचालित करने का कानूनी अधिकार है।
डी। व्यापारी शिमियो द्वारा सूचित सभी लागू कानूनों, प्लेटफ़ॉर्म नीतियों, गुणवत्ता मानकों और परिचालन दिशानिर्देशों का पालन करने के लिए सहमत है।
ई. व्यापारी समझता है कि शिमियो एक बाज़ार मंच के रूप में काम करता है और व्यापारी अपने उत्पादों, व्यावसायिक गतिविधियों, ग्राहकों और कानूनी दायित्वों के लिए ज़िम्मेदार है।
एफ। व्यापारी इस अनुबंध में उल्लिखित लागू कमीशन संरचना, भुगतान निपटान शर्तों, वापसी नीतियों, निरीक्षण अधिकारों और अन्य दायित्वों को स्वीकार करता है।
इस समझौते पर हस्ताक्षर करके मैं शिमियो द्वारा प्रदान किए गए सभी दिशानिर्देशों और नियमों का पालन करने के लिए सहमत हूं।
